CONSENT TO THE TRANSFER OF CONTRACTUAL RIGHTS AND OBLIGATIONS Reference No.: SEBLT/26/CR23323 Date: […] , 202 6 Taking into account that: AB SEB bankas (a company registered and operating under the laws of Lithuania, registration number: 112021238, registered address: Konstitucijos pr. 24, Vilnius, LT-08131, Lithuania) (hereinafter – SEB Lithuania) and AS “ SEB banka” (a company registered and operating under the laws of Latvia, registration number: 40003151743, registered address: Elizabetes Street 95, R i ga, Latvia, LV-1050 ) (hereinafter – SEB Latvia) will be merged into AS SEB Pank (a company registered and operating under the laws of Estonia, registration number: 10004252, registered address: Tornimäe 2, Tallinn, 15010, Estonia (hereinafter – SEB Estonia) . Following completion of the merger, SEB Estonia will continue its business activities under the new business name SEB Bank AS; Upon completion of the cross-border merger, SEB Lithuania and SEB Latvia will be dissolved without going into liquidation , and all their assets, rights and liabilities will be transferred to SEB Estonia, including all rights and obligations arising under or in connection with a contractual relationship . Business operations in Lithuania and Latvia will be continued through branches established by SEB Estonia , we hereby confirm and consent that, in connection with the abovementioned merger , all rights and obligations arising under or in relation to any contractual relationship between our organisation and SEB Lithuania shall be assigned to SEB Estonia. This consent shall come into force on the day it is signed and shall be deemed an integral part of the a greement s concluded between the respective parties .
