Lugupidamisega Liisi Heiskonen Hankeüksuse juht ( allkirjastatud digitaalselt ) Lisa d : 20 19 -K 0 30 h ankelepingu muutmise otsus e ettepanek 1 2019-K030 hankelepingu muutmise otsuse ettepanek 2 20 19 -K 030 k ooskõlastatud lepingu muudatus Appendix 4 Remuneration and Payment GENERAL PROVISIONS As compensation for the preparation of the Services provided hereunder, the Implementing Body shall pay the Consultant the remuneration (the “ Remuneration ”) comprising the following: a service fee in the amount of EUR 11’ 872 ’ 420 ,1 9 (eleven million eight hundred seventy- two thousand four hundred twenty euro and nineteen cents), split as follows: Design Services (Phase 1) , on a fixed price lump sum basis in the amount of EUR 10’ 512 ’ 420 ,5 9 (ten million five hundred twelve thousand four hundred twenty euro and fifty- nine cents), excluding value-added tax (VAT); and Design Supervision Services (Phase 2) , on a cost-reimbursable basis, capped at the maximum total amount of EUR 1’359’999,60 (one million three hundred fifty-nine thousand nine hundred ninety- nine euro and sixty cents), excluding value-added tax (VAT). In any occasion VAT shall be charged at the prevailing rate in accordance with applicable Law of the Country. The Remuneration is the all-inclusive consideration for the duly provided Services. The Implementing Body or the Client shall have no obligation to reimburse any cost to the Consultant in excess of this consideration without a prior written agreement between the Parties. Subject to the provisions of item 1.3 below, the Remuneration includes reimbursement of all and any expenditure incurred by the Consultant toward performance of any steps, actions or measures contemplated in accordance with this Agreement (including, without limitation, site surveys, travel costs within the Design Services and Design Supervision Services stages and the cost of training of personnel of the Client (if required), any taxes payable by the Consultant (including any withholdings), fees and other costs except for VAT), whether or not they are contained in this Appendix. In order to avoid any doubt, the Consultant agrees and acknowledges that, except as set forth in item 1.3 below, it shall have no right to request reimbursement from the Client or the Implementing Body of any additional expenditure whatsoever (without prior written agreement with the Client) as may have been incurred by the Consultant toward provision of the Services contemplated by this Agreement. Payment of the Remuneration for the Services is split as shown in the table in Clause 2.4 and rearranged in Clause 2.4 1 and will be paid on the basis of: a valid and correct invoice after the completion of particular Services, and handing over and accepting of the relevant Service (or a part of it) in accordance with the Agreement. The Remuneration shall not be paid for the Services or part of them, which does not comply with the provisions of this Agreement, until the non-compliance has been eliminated and the Client has accepted the Services or a part of them in accordance with the Agreement. The Consultant is deemed to have satisfied himself as to the true extent and quantity of the Services. Each Party shall bear its own bank charges or expenses incurred in connection with the transfer of any payments.Contractual penalty rate for delayed delivery of Services as set forth in Sub-Clause 4.4.4 of the Particular Conditions shall be 0.05% of the total Remuneration per single day, but not exceeding 10% of the Remuneration. Contractual penalty rate stipulated in this item is not applicable in case if the delay is caused by Exceptional Event. Contractual penalty rate for material breach as set forth in Sub-Clause 7.2.2. of the Particular Conditions shall be calculated in accordance with the afore mentioned Sub- Clause at the rate of 0.05% of unpaid amount, but not exceeding 10% of the Remuneration. Contractual penalty rate stipulated in this item is not applicable in case if the delay is caused by Exceptional Event. Contractual penalty rate for material breach as set forth in Sub-Clause 8.1.5 of the Particular Conditions shall be 10% from the total Remuneration payable to the Consultant pursuant to conditions of the Agreement. Contractual penalty rate stipulated in this item is not applicable in case if the delay is caused by Exceptional Event. Contractual penalty rate for the Consultant’s failure to perform any other obligation (rather than per item 1.7) arising out of the Agreement in due time shall be 0.001% of the total Remuneration calculated from the first delayed date to the actual date the specific obligation is fulfilled, but not exceeding 10% of the Remuneration. Contractual penalty rate stipulated in this item is not applicable in case if the delay is caused by Exceptional Event. In case if full / partial Remuneration for the Services provided is deemed to be ineligible to fund due to the Consultant’s fault or inaction, particular amount of Remuneration shall be withheld until the outstanding issues, defects, inconsistencies and incompliances are resolved provided that the Client shall reasonably assist the Consultant to resolve these issues. Any amounts overpaid or otherwise transferred to the Consultant in the amount having no basis shall be returned immediately. The payment of any of the penalties does not release the Consultant from liability. PRICING SCHEDULES These pricing schedules have not been compiled in line with any recognised industry method of measurement but as a means of formulating the amount of Remuneration for the Agreement and to form the basis of valuing Variations together with other schedules and rates tables provided in this Agreement. The Consultant is deemed to have provided a price in the form of Remuneration for all items included in these pricing schedules. The cost of any Services for which no item is provided and items which are left un-priced by the Consultant will be deemed included. Any amendments made to these pricing schedules do not change the Consultant’s obligation to complete the Services in accordance with the Agreement. The value assigned for MD of CO or DTD of CO for respective DPS is split into equal parts per number of COs in respective DPS as seen in Clause 2.4 2 . of Appendix 4 of the Agreement. 2.4 1 .2 COs are repackaged into new packages required for the construction works package (hereinafter – “ CW package ”) based on the contracting strategy of the Estonian Implementing Body (Appendix 3 of the Agreement). The value of repackaged design package is the sum of the respective CW Package and is equal to the cumulative value of COs composing the respective CW package. 2.4 1 .3 In case any CO is relocated to a different CW package by amending the Programme (Appendix 3 of the Agreement) in comparison to which it was allocated in this Appendix, the payment for the removed CO shall not be altered in any way and the payment for the CW package from which the CO was removed from and added to should be altered accordingly as described in Clause 2.4 1 .2 above. CW package compositions from which the CO has been removed should be considered as a whole without the removed CO. 2.4 1 .4 Payment to the Consultant for CW packages 1 and 2 is done after completion of the respective CW package, whereas payment to the Consultant for CW packages 3, 4 and 5 is done after completion of each Sub-package. Evidence and documentation for Payment of respective CW package and Sub-package should be provided in accordance with the approval procedures in the Particular Conditions, i.e., for MD –Provisional Delivery and Acceptance Certificate and Consultant’s invoice and for DTD - Provisional Delivery and Acceptance Certificate and Consultant’s invoice. 2.4 1 .5 In addition to the provision mentioned in Cause 2.4 1 .4, evidence for Payment for the last CW package or Sub-package, as the case may be, (for MD) of initial DPS is the approved Final Consolidated BIM for initial DPS, and for Payment for the last CW package (for MD) of the Agreement– approved Final Consolidated BIM (for MD) of all DPS of the Agreement. Final Consolidated BIM should include the following: 2.4 1 .5.1 Federated model and geotechnical profile; 2.4 1 .5.2 Clash detection model; 2.4 1 .5.3 4D simulation; 2.4 1 .5.4 Visualization (only applicable to Final Consolidated BIM after MD). Materials listed above shall be submitted once the approval of all CO in the last CW package for initial DPS or approval of all CO in the last CW package of the Agreement is achieved. They can only be carried out with the final and approved version of COs. Final Consolidated BIM (for MD) shall not be an obstacle to the approval of the individual COs, but a payment condition as described above. Final Consolidated BIM (for MD) shall be submitted as an addendum and no resubmission of any previous approved COs shall be required for this reason, except if corrections are required in approved CO due to any clash identified during the federation of BIM models. 2.4 1 .5.5. The payments for signed Variations/claims will be made upon acceptance of the Client. When a particular completed and approved Variation/claim has impact on the overall approval of the CW package it belongs to, this claim will be paid once the CW package is approved. Should a claim/Variation part of a CO be finished with no impact or influence over the approval of the CO and/or the CW package it belongs to, the Variation/claim can be invoiced and paid even if the CO it belongs is not finished and approved. ADVANCE PAYMENT In case the Parties have agreed to apply Advance Payment, it is stated as “Applies” under item 3.2 in the below table. If the Advance Payment applies, then the Consultant shall receive an Advance Payment in accordance with the Agreement and following conditions: 3.1. The total maximum advance payment: 5% of the total Remuneration amount of the Agreement. 3.2. Advance Payment applied under this Agreement Does not apply. Offset against the Payment Schedule The Advance Payment shall be set off against payments actually made chronologically starting from the first payment following the Advance Payment, applying the following requirements, until such time when the Advance Payment is completely set of off: The value of Advance Payment set off against each invoice shall be 50% of the total value of that invoice. Set-off against Consultant’s issued invoices shall be applied until such time until the entire value of Advance Payment has been set off. The afore mentioned set-off order applies notwithstanding any other rules and provisions of withholding/retention//deducting/set-off stipulated in the Agreement. 3.6. Nature of Advance Payment: Advance Payment shall not be considered as a payment fulfilling any of the requirements of any deliverables and Services under the Agreement. The intention of applying Advance Payment is improved cash flow at the early stages of the delivery of the Services. In case at any point in time during the course of delivery of the Services, the Consultant is in material breach with the Agreement or the Agreement is suspended or terminated and at such time any proportion of Advance Payment has not yet been off-set and is still outstanding, then the Client shall have the right to request and entitlement to receive back any such outstanding proportion of the Advance Payment from the Consultant or the right to request the indemnification under the Guarantee for Advance Payment without delay or withhold any such outstanding proportion of the invoices from the Consultant without delay and special notification. * In case of any variations that impact the amount of Remuneration paid under this Agreement, the Advance Payment amount agreed in this clause 3.2 shall not be adjusted and shall remain as stated and agreed at the time of signing of this Agreement. We further agree that no change or addition to or other modification of the terms of the agreement which may be made between Client (or the Implementing Body and the Consultant), shall in any way release us from any liability under this guarantee, and we hereby waive notice of any such change, addition or modification. We hereby also waive any options, possibilities or rights to reject or suspend the Client’s demand if it is issued in accordance with the form and place of presentation mentioned above. The Client shall not be obliged to justify his demand. The Guarantor has undertaken obligations with respect to the Client only, therefore the guarantee is not transferable or shall not be pledged. The Guarantor has been notified that the Client may require the Consultant to extend the guarantee. Disputes and Applicable law : This Guarantee is subject to the law applicable in accordance with the Agreement and dispute resolution proceedings pursuant to the Agreement (adjudication; arbitration). For issues not mentioned herewith the guarantee shall be regulated by the ICC Uniform Rules for Demand Guarantees URDG 758. This guarantee shall remain valid and in full effect from the date of the advance payment under the agreement until the full repayment of the same amount from the Consultant. Preparation of a supplementary risk assessment on the release of contaminants into the Kurna stream, describing the mitigation measures in case of a chemical spill accident. Due to the delay by the Contracting Authority, it was not known how the possible changes resulting from the State Resources Centre's Muuga Dry Port project were to be implemented in the main design. According to the instructions given by the client, the contractor has to modify the Value Engineering design solution. This, in turn, delayed the submission deadlines for the other DPS3 main projects. Amend the Appendixes to the Agreement accordingly: - Appendix 3: Programme - Appendix 4: Remuneration and Payment. Due to the delay caused by the Contracting Authority, the Consultant was unable to proceed with the DPS3 Main Projects. Amend the Appendixes to the Agreement accordingly: - Appendix 3: Programme - Appendix 4: Remuneration and Payment. The Contracting Authority did not provide the Expert Reports to the Designer on time, which resulted in the Consultant having to make further revisions to the latest design version, which in turn delayed the acceptance by the Contracting Authority of the DPS1 main line RW0400 and associated OU0400 packages. Amend the Appendixes to the Agreement accordingly: - Appendix 3: Programme - Appendix 4: Remuneration and Payment. The design of an additional facility, not foreseen in the preliminary design, which resolved the crossing of the existing water and pressure sewerage piping belonging to Elveso AS on the Rail Baltic route. The scope of works for the 1520 mm temporary diversion in Soodevahes (DPS3-RW0380) will be excluded from the scope of works and no planning permission will be sought for it, therefore the scope of works for DPS3-RW0380 should be excluded from the scope of works of the designer. Täiendava riskianalüüsi koostamine seoses saasteainete sattumisega Kurna ojja, mis kirjeldaks keemiareostuse õnnetuse korral ohtude maandamist. Lisaks korrigeerida RW0400 U-kraavide Design Guidelines (DG) erisuse (Derogation) nõuet vastavalt uuele standardile. Tellija viivituse tõttu ei olnud teada, kuidas Riigiressursside Keskuse Muuga kuivsadama projektist tulenevaid võimalikke muudatusi tuleb põhiprojekti rakendada. See lükkas omakorda edasi teiste DPS3 põhiprojektide esitamise tähtaegasid. Tellija antud juhiste kohaselt pi d i töövõtja muutma Value Engineering projektlahendust. Seoses nimetatud lisatööga muuta vastavalt alltoodud lepingu lisasid: - Appendix 3: Programme - Appendix 4: Remuneration and Payment. Tellijast põhjustatud viivituse tõttu ei saanud Konsultant jätkata projekteerimistöid DPS3 põhiprojektidega. Seoses nimetatud lisatööga muuta vastavalt alltoodud lepingu lisasid: - Appendix 3: Programme - Appendix 4: Remuneration and Payment. Tellija ei edastanud projekteerijale õigeaegselt ekspertiisiteenuse raporteid, mistõttu pidi Konsultant viimast projektversiooni täiendavalt korrigeerima, mis lükkas omakorda edasi ka DPS1 põhitrassi raudteepaki RW0400 ja sellega seotud OU0400 paki vastuvõtmise Tellija poolt. Seoses nimetatud lisatööga muuta vastavalt alltoodud lepingu lisasid: - Appendix 3: Programme - Appendix 4: Remuneration and Payment. Täiendava rajatise projekteerimine, mida polnud eelprojektis ette nähtud ning millega lahendati Elveso AS-le kuuluva olemasoleva vee- ja survekanalisatsiooni torustiku ristumine Rail Balticu trassil. Seoses nimetatud lisatööga muuta vastavalt alltoodud lepingu lisasid: - Appendix 3: Programme - Appendix 4: Remuneration and Payment. Lepinguliste tööde mahust arvestatakse välja tööprojekt 1520 mm ajutise ümbersuunamise osas Soodevahes (DPS3-RW0380) ning ehitusluba sellele ei taotleta, seetõttu tuleb DPS3-RW0380 tööprojekt projekteerija töömahust välja arvata. Seoses nimetatud muudatustööga muuta vastavalt alltoodud lepingu lisasid: - Appendix 1: Technical Specification chapter 2.8. - Appendix 3: Programme - Appendix 4: Remuneration and Payment . MUUDATUSE MÕJU TASULE Muudatustööde tulemusena suureneb Lepingu maksumus 94 649,75 € võrra (ilma käibemaksuta), mis teeb Lepingu kogumaksumuseks 11 490 057,71 € ilma käibemaksuta. Annexes PAGEREF _Toc525282577 \h 42 General Introduction The Baltic countries Estonia, Latvia and Lithuania have historically been linked to the east-west railway transport axis using the 1520 mm gauge railway system. Because of the existing historical and technical constraints, the existing rail system is incompatible with mainland European standards, thus there is a consensus that Estonia, Latvia and Lithuania need to be fully integrated into the wider European rail transport system. Currently there is no efficient 1435 mm railway connection along the Warsaw-Kaunas-Riga-Tallinn axis, i.e. there are missing links or significant bottlenecks. Thus, there are no direct passenger or freight services along the railway axis as the existing infrastructure does not allow for competitive services compared to alternative modes of transport. Thus, the clear majority of the North-South freight is being transported by road transport and the overall accessibility in the region is low. The ambitions of the Rail Baltica Global project (Global Project) are: to become a powerful catalyst for sustainable economic growth in the Baltic States; to set a new standard of passenger and freight mobility; to ensure a new economic corridor will emerge; sustainable employment and educational opportunities; an environmentally sustainable infrastructure; new opportunities for multimodal freight logistics development; new intermodal transport solutions for passengers; safety and performance improvements; a new value platform for digitalization and innovation; completion of Baltic integration in the European Union transport ecosystem. Rail Baltica is already designed to become a part of the EU TEN-T North Sea – Baltic Core Network Corridor, which links Europe’s largest ports of Rotterdam, Hamburg and Antwerp – through the Netherlands, Belgium, Germany and Poland – with the three Baltic States, further connecting to Finland via the Gulf of Finland short sea shipping connections with a future fixed link possibility between Tallinn and Helsinki. Further northbound extension of this corridor shall pave the way for future connectivity also with the emerging Arctic corridor, especially in light of the lucrative prospects of the alternative Northern Circle maritime route development between Europe and Asia. Furthermore, the North Sea – Baltic Corridor crosses with the Baltic-Adriatic Corridor in Warsaw, paving the way for new supply chain development between the Baltic and Adriatic seas, connecting the Baltics with the hitherto inadequately accessible Southern European markets. In a similar fashion, Rail Baltica shall strengthen the synergies between North-South and West-East freight flows, creating new transshipment and logistics development opportunities along the Europe and Asia overland trade routes. The new Rail Baltica infrastructure would, therefore, not only put the Baltics firmly on the European rail logistics map, but also create massive opportunities for value creation along this infrastructure with such secondary economic benefits as commercial property development, revitalization of dilapidated urban areas, private spin-off investment, new business formation, technology transfer and innovation, tourism development and other catalytic effects. Rail Baltica aims to promote these effects from the early stages of the Global Project, learning from the key global success stories and benchmarks in this regard. The contracting authority RB Rail AS was established by the Republics of Estonia, Latvia and Lithuania, via state-owned holding companies, to coordinate the development and construction of the fast-conventional standard gauge railway line on the North Sea – Baltic TEN-T Core Network Corridor (Rail Baltica II) linking three Baltic states with Poland and the rest of the EU. RBR together with governments of Estonia, Latvia and Lithuania (represented by the ministries in charge of transport policy) have applied for the CEF co-financing in 2015, 2016 and 2017 (three applications in total). Three applications were successful and INEA grants are available to support the Global Project expenses. Rail Baltica is a joint project of three EU Member States – Estonia, Latvia and Lithuania – and concerns the building of a fast conventional double track 1435 mm gauge electrified railway line on the route from Tallinn through Pärnu (EE), Riga (LV), Riga International Airport (LV), Panevėžys (LT), Kaunas (LT) to the Lithuania/Poland state border (including connection Kaunas - Vilnius). In the longer term, the railway line could potentially be extended to include a fixed link between Helsinki and Tallinn, as well as integrate the railway link to Warsaw and beyond. The expected core outcome of the Rail Baltica project is a European gauge (1435mm) double-track railway line of almost 900 km in length meant for both passenger and freight transport and the required additional infrastructure (to ensure full operability of the railway). It will be interoperable with the TEN-T Network in the rest of Europe and competitive in terms of quality with other modes of transport in the region. Consolidated P reliminary T echnical D esign (CPTD) F inalized results of review, evaluation and optimization of Preliminary design’s, Design’s solutions arising from interoperability, user’s and railway business, optimum life cycle cost, efficiency, sustainable and environmentally friendly railway operation as well as Rail Baltica Global Project perspective. CPTD covers the set of identified necessary modifications and improvements to be evaluated in detail within the design phase. The improvements identified might result in railway alignment modifications. Consultant S ervice provider awarded with an A greement to conduct the S ervices specified in the present Technical Specification and A greement. Design guidelines S et of predefined and standardized technically and economically justified engineering and design solutions for Rail Baltica infrastructure to be applied at design, construction and operation phases of Rail Baltica Railway, which forms an integral part of this Technical Specification . The Design guidelines may be changed by the Client, therefore the Agreement always refers to the most current version of the Design guidelines. Detailed T echnical Design (DTD) a final stage of the design process in accordance with Country’s construction legislation and it gives right to start construction works. In terms of Country’s construction legislation, Detailed Technical Design corresponds to Operational Building Design documentation (“Tööprojekt” in Estonian) together with all requirements specified in Technical Specification for the Detailed Technical Design. Global project all the activities undertaken by the Rail Baltica railway implementing parties in order to build, render operational and commercialize the Rail Baltica railway and related railway infrastructure in accordance with the agreed route, technical parameters and time schedule. Implementing bodies OÜ Rail Baltic Estonia, SIA „Eiropas dzelzceļa līnijas“ and UAB „Rail Baltica statyba" . Local facility Means geographically limited parts of railway infrastructure with extended structural or functional elements (terminals, service facilities, etc.) which are related or needed to ensure a safe and smooth operation of the railway. Local facilities are , inter alia , the following : a passenger terminal, including passenger stations, a freight terminal including railway station, a rolling stock maintenance facility, an infrastructure maintenance facility, o ther possible facilities. Master D esign (MD) Consolidated approach of full design documentation package aimed towards detailed technical design by considering all legal requirements set out in national construction legislation and following the established design guidelines for the railway. The result of master design is a set of documents (incl. drawings in 3D model, BIM model) which clearly shows the scope of the project, includes a situation plan with an accurate placement of the railway line , detailed track layout, main signalling , contact line , electrical network details , etc. The scope of this set has to be wide and precise enough so that the main details and the main requirements for precise detali s ation are clear. In terms of Country’s construction legislation, Master Design corresponds to Principal Design Documentation (”Põhiprojekt “ in Estonian) together with all requirements specified in Technical Specification for the Master Design. National studies / RBR studies Detailed engineering and feasibility studies on implementation of Rail Baltica project in each of the three Baltic states, feasibility studies and similar activities. Preliminary design (PD) completed pre-design stage, including special planning and environmental impact assessment studies, of Rail Baltica railway prepared in accordance with Country’s national construction legislation and approved at the State level. Rail Baltica railway a new fast conventional double track electrified European standard gauge (1435 mm) railway line on the route from Tallinn through Pärnu - Riga -Panevėžys - Kaunas to Lithuanian - Polish border, with the connection of Kaunas - Vilnius . Railway station part of a railway containing necessary sidings and necessary equipment, which allow s to perform train traffic organization (change of direction, overtaking, crossing) and commercial (passenger exchange, freight operations, etc.) operations. The border of a railway station is a station border (an entry signal or a border sign). Railway infrastructure has the same meaning as an identical term in the Directive 2012/34/EU of the European Parliament and of the Council of 21 November 2012 establishing a single European railway area (recast), as well as it includes freight and passenger terminals and infrastructure and rolling stock maintenance facilities and the ground underneath them and the airspace above them to the extent that the national legislation permits the ownership of the ground and the airspace. Operational Plan geographical scope of work is the entire Rail Baltica railway corridor, therefore it is a major tool allowing consistency of infrastructure design and interface between different Design Sections. Following completion of Operational Plan, operation and maintenance parameters will be maintained and updated by the Client. The Consultant shall take into account the operation and maintenance parameters for the performance of the Design S ervices. Prior starting any design phase, the Consultant shall request approval from the Client of the operation and maintenance parameters used as input data. All Consultant deliverables will be reviewed to assess their compliance with operation and maintenance parameters. Building Information Management (BIM) Detailed BIM Strategy is responsibility and development by Client and is prepared within the scope of separate contract during the implementation of Design S ervices and shall be a part of Design Guidelines “Building Information Management (BIM) Employer’s Information Requirements”. The CDE and the whole document management system hosted by the Client is planned to be implemented in 2019. The migration of data shall be organized only for the contractual deliverables of the design stages. The main tasks part of the scope of the S ervices of the Consultant are as follows: review and analyse all references necessary for the provision of services under the Agreement ; develop and improve solutions provided in the Preliminary design and CPTD through Value Engineering ; undertake necessary site investigations, including topographic, geology, hydrology , etc.; carry out accredited laboratory tests for the quality check of mineral materials (in accordance with the requirements in Design Guidelines ) from local quarries to be used in substructures ; analyse existing data on archeologic, cultural heritage objects and implement necessary investigations; obtain any permits required to start , implement and complete the design process ; proactively apply for any information from Client, and to cooperate with him, in order to implement th i s information in the deliverables of the Design S ervices; apply for technical conditions from Affected parties and implement the received requirements that fall under the concept of Rail Baltica Global project; obtain any required approvals (from Client, National Safety Authority, Notified Bod y (hereinafter – NoBo ) , Affected parties , etc.) required during the design process; apply for the necessary number of Building Permits (considering the indicative amount of Construction Objects specified in this T echnical specification ) by ensuring the provision necessary design data in accordance with Country’s construction legislation; obtain necessary number of Building Permits , including permits for cultural heritage objects , in accordance with Country’s construction and other national legislation by implementing requirements received from involved Country’s state institutions during the Building Permits’ issuing process; cooperate with NoBo, d esign expertise providers in order to implement their comments and receive their acceptance for the design; ensure the coordination of provision of the Design Services (including, inter alia , any required interdisciplinary design checks) with Implementing bodies, Affected parties and any other state, private entities, persons involved in the design process; prepare Master design ( including cultural heritage objects ) and Detailed Technical Design fit for purpose ; implement EIA and all relevant mandatory procedures , including approvals’/permissions’ obtainment ; in case of deforestation, harvesting, transplantation or other removal of existing forest, protected trees and shrubs is needed to be foreseen in order to implement construction and installation works later – to prepare mandatory documents, perform all relevant mandatory procedures, including approvals’ and permissions’ obtainment ; carry out public consultations and presentations on different aspects of technical solutions, environmental impact assessments and further development approaches; prepare Bill of Quantities and cost expenditure (construction cost estimation) calculations for each Construction object; provide the Design Supervision S ervices , including cultural heritage objects’ design (reconstruction) supervision, during the construction in accordance to the Country’s national legislation and Agreement’s conditions; prepare maintenance requirements and manuals for the designed objects . Maintenance manuals shall consider the most optimum ways of maintaining the infrastructure objects with regards to, inter alia , safety, ease and speed of maintenance ; provide any other S ervices required in accordance with applicable national and international legislation, as well as requirements falling under the Global project concept that may be required and expected from a responsible and prudent Consultant for the purposes of ; investigate the possibly contaminated areas and prepare the techno logy (to be applied during the construction) for the disposal / utilisation of hazard substances ; be available for regular liaison as and when required with the Client and Affected parties as may be required for the successful completion of the Services ; Designer shall develop necessary solutions for safety measures related to the railway protection zone. Consultant shall consider for the structural calculations and verifications the loads of all elements , regardless their level of detail in Master design or Detailed Technical design as well as relevant construction phases, methods and equipment . All bridges, overpasses, eco-ducts, tunnels, culverts, segregated grade crossings, railway substructure and superstructure shall be designed with the consideration and calculations of all the impacts and all the loads, including the locations of the future loads of the catenary poles, lighting poles, GSM-R towers, substations, noise barriers, retaining walls, signals, landscaping and other objects. The Consultant shall be responsible at its own cost for the correction and resubmission for the confirmation/approval process (if necessary) at any stage of provision of the Design Services in case of design mistakes and/or noncompliance with Technica l specification, Rail Baltica Design Guidelines, Country’s construction legislation or other mandatory requirements . The Consultant shall prepare land acquisition plan (if necessary for the approved design option) consisting of layouts, drawings, cadastral information and explanatory note on territories, which need to be obtained for railway alignment objects as well as for access roads with cadastral unit markings, boundaries and surface data. Separately for every Design priority section t he Consultant shall prepare the construction technology and work organisation planning covering construction phasing (calendar planning) , general layout of construction works, site preparation requirements, the labour protection and health protection plan, explanatory description, assembly load schemes, traffic organisation plan construction technologies to be used, logistics and construction works organisation , additional land plots necessary . Construction technology and work organisation planning shall be developed in accordance with Country’s legal acts . The Consultant must prepare a design by assessing the requirements of the Preliminary design for the preparation of construction sites, warehouses for the construction of materials, waste management, construction equipment and vehicles used for construction . The detalisation level of construction technology and work organisation plan in Master design and Detailed technical design shall be agreed with the Client. The Consultant shall analyse all the requirements for design and works mentioned in the Preliminary design , prepare, submit all necessary applications and fulfil the Design S ervices in accordance with additionally obtained requirements and conditions . The Consultant shall consider the design solutions having as low as possible negative impact on the capacity as well as operation of the existing railway infrastructure during and after the construction. The design solutions (as well as construction technology solutions) influencing the capacity of any public infrastructure shall be aligned with the corresponding Affected parties. The Consultant shall be responsible for undertaking all the S ervices required and that can be reasonably expected from an experienced and prudent design contractor for similar Services. The Scope of Services described in the Technical Specifications are minimum and the Consultant shall foresee the required input information for the Services (including evaluation and design work on alternatives/options) and to design the best selected alternative with all the respective approvals. Country specific scope of the Design Services Strategic Environmental Assessment (further on SEA) of the Rail Baltica Estonian alignment has been carried out during county-wide spatial planning process throughout the Rail Baltica route in Estonia (including current section). Due to the preliminary design process of the Rail Baltica railway alignment was carried out in parallel. SEA has been developed in detalisation level of EIA and it has been coordinated with all relevant stakeholders and has been approved by the Ministry of the Environment . The Consultant is responsible in carrying out environmental impact assessment of current D esign S ection as follows : The Consultant is commited to carry out Environmental Impact Assessment (EIA) in full length of Design Section with all necessary studies . Stategic Environment Assessment is accomplished for the County-wide spatial plan and can be as input for EIA. The Client will provide Environmental Impact Assessment draft program and the Consultant shall evaluate and if necessary complete the program before carrying out EIA. The Consultant shall ensure that t he environmental impact assessment is conducted by a natural person, who holds a licence for an environmental impact assessment, or a legal person through an employee holding a relevant licence (in the sense of §14 of the Environmental Impact Assessment and Environmental Management System Act). In order to implement construction or installation of drainage systems, ditches, culverts etc., the Consultant shall coordinate the permit for the special use o f water with Estonian Environment al Board. The Consultant shall follow the guidelines to design technical solutions to avoid conflicts between traffic flow and animals: „Loomad ja liiklus Eestis. Käsiraamat konfliktide määramiseks ja tehnilised lahendused meetmete rakendamiseks” – Estonian Road Administration, 2010 ( https://www.mnt.ee/sites/default/files/elfinder/article_files/1286480217.pdf ) . After the Master Design has been approved by the Client, it is the Consultant´s responsibility to mark down physically in nature all forest ed areas which will need to be cut under the responsibility of the Client before the construction works start. The Consultant shall submit a report with the relevant map, coordinates and legend to the Client digitally. The Consultant´s responsibilities with the Land Acquisition Plan are as follows: Detailed land acquisition plan is to be created for railway alignment objects as well as for access roads and other related infrastructure objects . Acquisition plan is to be drawn up in accordance with §33 of the Minister of Economic Affairs and Infrastructure directive No. 82 “Requirements to the road design project” adopted on 02.07.2015. In Land Acquisition plan the Consultant shall provide detailed drawings and explanatory note on territories, which need to be obtained for railway with cadastral unit markings, boundaries and surface. It is planned that the land acquisition process for the land plots Rail Baltica railway corridor covered by the unchanged sections of Preliminary design alignment shall begin at the end of 2018. It is planned that the land acquisition process of the remaining land plots (based on Master Design alignment solutions) shall begin at the end of 2019. The Consultant shall not be responsible for the land acquisition process. However, the Consultant shall exercise its best efforts to ensure that Design development progresses without any delay in accordance with the agreed time schedule. In case the land acquisition process causes any restrictions to the Consultant in progressing the Design further for any particular case and such restrictions cannot be avoided and/or reasonably overcome, the Consultant shall prove that there are no other possibilities to continue progressing with Design development but wait for the completion of land acquisition process . The Consultant shall develop demolition design and obtain demolition permit for objects and structures required to be demolished and removed. There is a survey ordered by National Implementing Body regarding newly discovered flora species in the special plan of Rail Baltica railway corridor (Annex No. 3.13) . The Consultant shall consider the results of this stud y during provision of the Design Services . In case the design solution of Consultant stretches out of area that is reserved for Rail Baltica corridor according to existing county plans (i.e. crossing road viaduct with access road is longer than 350 meters and requires extra conditions) , it is Consultant´s responsibility to obtain necessary designing conditions for the particular land plot . In priority section III Soodevahe-Muuga, the railway alignment can go out of the current RB corridor according to county-wide spatial plans. The exact sections, where new RB alignment could be out of corridor, are km 5+100 – 7+450 and km 8+900 – 10+700. The Client shall provide more specific information and final decision in 12 moths after the Contract of Design services is signed. In case of the railway new alignment is going out from county-wide spatial plan corridor and there is a need for new country special spatial plan , the Consultant is obligated to provide all nessessary documents, to be involved in the process and carry out EIA in that section. In priority section II, Assaku (km 23,7), an e me rgency stop platvorms shall be design in Detailed Technical Design level. Platvorms should be at least 2 1 0m long on both side s of railway tracks. Main objects The main objects, inter alia , falling under the Consultant’s scope of Services that must be fully addressed in the Design are as follows : earthworks ( including non-usable material storage pla ces) , embankment, cutting, subgrade, blanket layer (sub-ballast); railway superstructure, i.e. railway tracks covering turnouts, ballast, rails, concrete sleepers/beamers with the fastenings (slab track structures); station tracks, platforms, depo t and multimodal access track connections (if required) , passing loops and crossovers; drainages, ditches, culverts; bridges, tunnels (e.g. railway, road, pedestrian, animal etc.) , road viaducts, railway viaducts, retaining walls access roads for Railway infrastructure objects, maintenance roads, eco-ducts (animal crossovers), segregated grade pedestrian crossings, cable channels ( with the required spare capacity ) for the main signalling, communication cables, cable ducts to the turnout point machines, point heating systems , axle counters and signals, passenger platforms with the access walkaways/equipment and cable ducts, power supply substation land plot layouts, additional cable channels for the future communication needs , all structures for PRM , fences with access gates, noise barriers, separation walls and structures for different infrastructures, landscaping for the railway right of way, designed structures and objects of the Affected parties, designed roads and road bridges etc. location of catenary constructions, lighting poles, radiocommunication towers, substations, signals, facilities (including buildings) for signalling equipment and other objects if applicable, railway station infrastructure (supply utilities, power supply, lighting, communication, drainage, water supply, car parking place etc.) at the C onceptual design level for international stations and regional stations , stops (at the C onceptual design level) ; demolishing building s and other structure (including utilities) . Temporary buildings, structures, access roads and bypasses foreseen for the implementation of the design solutions, Deforestation of land plots and trees, Design for construction site cleaning before and after construction works, Fire protection st r ips according to country specific requirements , E mbankment settlement and frost heave monitoring systems in locations of particular interest , Bridge/overpass/viaduct /tunnel monitor ing systems , Reallocation of buildings, structures and objects , Design for a land melioration where needed . Unless it is required specifically, the following objects shall be designed by the Consultant at the C onceptual d esign level: Technical buildings necessary for the railway operations and maintenance ; Traction power substations, overhead contact line system , snow cleaning systems . The list of main objects defined in the 2.3.1 is indicative on the basis of existing studies. The Consultant remains fully responsible of establishing the list of objects and exact amount/volume of the structures to be designed, in order to ensure the overall performance of the Services Client’s responsibility Any work done prior to the approval of Consultant’s documents by the Client shall be at the Consultant’s risk and responsibility. The Client shall have the right to amend the Client’s Requirements, request any additional details and to require the Consultant to make any changes in the required Services pursuant to the provisions and procedure specified in the Particular conditions and the Design Guidelines. Such amendments to the Client’s Requirements, including changes in the required Services, shall not cause any additional costs to the Client unless such costs are unavoidable. Approval of any of the Consultant’s documents by the Client shall not relieve the Consultant of the responsibility to meet all of the requirements or of the responsibility for the correction of the documents furnished by the Consultant. The Consultant shall have no claims for additional costs or extension of time on account of delays due to revisions of the documents, which may be necessary for ensuring compliance with the Agreement or the applicable law. In the case of the later discovery of errors, omission, or inconsistencies within a Consultant’s document, the Consultant shall promptly submit the revised document, to the Client’s approval within 30 ( thirty) days after date of notification. Pursuant to the provisions and procedure specified in the Particular conditions and the Design Guidelines the Client shall have the right to require the Consultant to make any changes in the approved Consultant’s documents and other performed Services. Design priority sections In order to ensure proper planning and management of design process, the whole Design Section covered under the scope of the Design S ervice s is split into the Design Priority Sections that are prioritised from the design process and construction implementation perspective. The range of a particular Design Priority Section is identified in the Technical Specification. In case it is not possible to perform the Services in relation to a given Design Priority Section the Client has the right to change the order of Design Priority Sections. If such changes are not made, the Consultant shall consult the Client on regular basis and prioritise the performance of the Services in the subsequent Design Priority Section. The arrangement and split of objects (to be designed under the Agreement ) into the Construction Objects shall be done in accordance with the following: Country’s national construction legislation; financial resources allocation for the implementation of design (construction) activities; Consultant’s experience and best practices of high speed railway design; better coordination and management of the Design Services ; analysis of technical options and results of Value Engineering process; envisaged ownership of the designed and build constructions; Technical conditions received from Affected parties. The Consultant shall note that due to the above-mentioned reasons, the final number and list of Construction Objects mi g ht change during the Design S ervices . The Consultant shall prepare an implementation schedule of design of Construction object within Design Priority Section and submit it for approval. This implementation schedule shall be updated monthl y and included in Progress report. The Client may change the p riorities for design of Con s truction objects . NoBo assessment starts with design works phase and ends with formal certification of each separate completed railway subsystem. Design expertise as well as NoBo assessment are u nder the responsibility of the Client. The Consultant shall cooperate with the d esign expertise as well as NoBo assessment with the Client and provide all necessary data. The Consultant shall implement the comments (correct the design documents) received from design expertise as well as NoBo assessment service providers within 1 week of receival of such comments . Building Permits’ receival process The Consultant shall carry out all necessary activities at its own cost to obtain necessary Building Permits for all Construction Objects according to the Country’s national construction legislation. Building Permit for the following part of the design is descoped from the Consultant’s responsibilities: DPS3 BP14 – RW0380 . The Consultant shall fully take into account the time periods specified in Country’s construction legislation for the Building Permits receipt process. The Consultant shall be responsible for the applications to receive the Building Permits and provision of necessary information . Application for all Building Permits related to Rail Baltica projects shall be submitted electronically through the Estonian Register of construction works ( “ Ehitisregister ” in Estonian ) which is coordinated by the Ministry of Economic Affairs and Communication of the Republic of Estonia. Supplementary information on the structure and guidelines on how to form building permit documents are available online - Ministry of Economic Affairs and Communication “Requirements to form documents in applying building permit electronically”. Tabulated overview of the obligation to submit the building notice or building design documentation and to apply for building permit is presented in a nnex No. 1 of the Estonian Building Code. Building permits for railway design projects need to be applied and obtained according to the structure of the referred annex. The a uthority to issue building permits for the Rail Baltica project in Estonia is the Estonian Technical Regulatory Authority ( “ Tehnilise Järelevalve Amet ” in Estonian ). On behalf of the Client the Consultant shall be responsible to communicate and inform the affected land owners, neighbours and other groups of people of the commencement of the design process / receipt of the construction permit as required by the construction legislation. Affected parties’ objects The Consultant shall be responsible for the coordination of activities of the Design Services with Affected parties within and/or in association with the Scope of the Services . Based on the requirements specified in Preliminary Design, CPTD and following the design solution development process the Consultant shall apply for Technical Conditions from Affected parties (hereinafter – Affected party Technical Conditions). The scope of Affected party Technical Conditions might cover the following construction activities that shall be incorporated in the design by the Consultant during provision of the Design Services : Reconstruction, demolition, upgrade; Relocation, protection, restoration, preservation; any other construction activities in line with Rail Baltica Global project objectives. The Consultant shall coordinate and align the scope of Affected party Technical Conditions before the application and after the receipt with the Client to ensure that Technical Conditions are legitimate and in line with Rail Baltica Global project. The Consultant shall be responsible for the implementation of the requirements of Affected party Technical Conditions during the provision of the Design Services . The Consultant shall be responsible for the implementation, update and transfer to the Client of the database of technical conditions, correspondence and any other document related to the requirements of Affected party management. The indicative list of Affected parties is as follows: Transport infrastructure operators/owners: railways, roads, airports; Power transmission operators (high voltage) and power suppliers (low and medium voltage); Oil/gas transmission operators; State/municipal institutions; Landowners; State Forest Service; Telecom (communication cable lines, mobile operators) Fire/Rescue services and military authorities; Private enterprises; Railway authorities; State/municipal service companies (water supply, heat supply etc.); Environmental monitoring institutions ; Culture heritage monitoring institutions ; Melioration and land drainage authorities and owners ; any other institution the requirements thereof shall be considered by the Consultant during the Design S ervice s provision. Design process Site Investigation The Consultant shall carry out all the necessary site investigations /surveys – inter alia , geodetic and topography, geological, geotechnical and hydro-geology, hydrology, noise, EIA if applicable and any other investigations necessary to receive responsible authorities/institution approvals (result registrations) in accordance with Country’s applicable legislation, regulations, standards and other requirements covered in the Technical Specification, Design Guidelines and Rail Baltica - Additional requirements for site investigations (Annex No. 5). For the site investigations the Consultant shall prepare program for each investigation, receive all the necessary and applicable permissions (from the Client , state authorities and other ) to carry out the respective site investigations and at the end of investigation shall prepare report for each investigation. Value engineering Value Engineering process The Consultant shall implement Value Engineering process by applying the best engineering practise to optimise the design solutions and achieve the best value for money through railway lifecycle by ensuring safety, railway system capacity, operational efficiency, reliability and flexibility, social, economic, environmental as well as other objectives defined at intergovernmental level between Baltic states for the Rail Baltica railway. The Consultant shall consider all reference data defined in the Technical specification, as well as relevant results of site investigations implemented by the Consultant during provision of the Design Services and other necessary data . For every railway line structural aspect (such as horizontal and vertical alignment, embankment structure, bridge, viaduct, roads, eco-duct, noise barrier etc.) the Consultant shall develop different feasible design options based on the following: Preliminary design solutions; CPTD recommendations; Additional option developed by Consultant’s by considering the best engineering practice; The level of detalisation for every design option, to be proposed by the Consultant, shall be sufficiently clear to understand at the C onceptual design level and sufficiently detailed for the exhaustive analysis throughout the Value E ngineering process. The Consultant shall present every design option by providing the following information: Conceptual design (showing alignment, cross-sections, maps, interfaces with other objects, landscaping etc.); CAPEX, OPEX calculations; Quantitive and qualitive analysis of advantages and disadvantages of particular option; Any other data necessary to identify the key aspects differentiating the design options to be compared. The Consultant shall ensure that Value E ngineering results are aligned with the design solutions planned for the neighbouring Rail Baltica railway sections (at least for 1 km) outside the Design section. The results of Value E ngineering process are C onceptual design solutions agreed and approved by the Client and involved Beneficiaries to be used as a basis for further development and preparation of the Master design. Scope of Value Engineering and approval The Consultant shall implement Value Engineering separately for every Design priority section and prepare Value Engineering report consisting of two main parts. I. Value Engineering for railway alignment , covering vertical and horizontal railway profiles, as well as railway / road viaducts; II. Value Engineering for structures , covering railway embankment structure, bridges, viaducts, tunnels, eco-ducts, noise barriers and other structures (justified as necessary to be analysed through Value Engineering process) Value Engineering for railway alignment The Consultant shall implement Value Engineering for railway alignment, in order to improve technical solutions for the insertion of the railway infrastructure in its environment, and to optimise cost/benefit ratio. The Value Engineering methodology shall follow the following prioritized criteria: Safety and Security; User's perspective (passengers, freight owners ) ; Train operator's perspective (capacity, rolling stock, energy costs, OPEX, revenues); Infrastructure management (traffic management, maintenance management, OPEX); Technical and project delivery (CAPEX, third parties, schedule, procedures); Externalities (human health and society, environment impact, network effect, etc.). The Consultant shall implement Value Engineering for railway alignment at least for two options in accordance with Value Engineering methodology provided in Annex No. 4 of Technical specifications. Based on the best practical implementation of Value Engineering exercise, the Consultant might propose modifications (to be accepted by the Client) to the Value Engineering methodology provided in Annex No. 4. The reports of Value Engineering for railway alignment shall be prepared in consultation with the Client, Beneficiaries, Implementing Bodies as well as relevant Affected parties and approved by the Client. The Consultant shall be responsible for the presentation of the results of Value Engineering process not only to the Client, but also to the involved Beneficiaries, Implementing Bodies and Affected parties. The Consultant shall be responsible for the study of options according the criteria defined in the Value Engineering methodology, and to prepare the necessary technical drawings, calculations and other elements. By exception, the Client will manage the study of the following criteria: User perspective (C3 to C5), Train Operator Perspective (C6 to C10), on the basis of elements and drawings provided by the Consultant. Study reports for these criteria will be transferred to the Consultant, in order he could assembly and finalise the Value Engineering report. During the implementation of the Value Engineering the Consultant shall assume the following split for the total length of the Design Sections: - changes resulting in significant horizontal and vertical railway alignment improvement within the county-wide spatial plan railway corridor - approximately 70 % - changes resulting in insignificant horizontal alignment improvement, but significant vertical alignment improvement within the county-wide spatial plan railway corridor - approximately 30 % This provided information is based on the Client’s available data, understanding and studies, which may improve during design. Value Engineering for structures The Consultant shall implement Value Engineering for structures by analysing at least two new design options (covering one option proposed by the Client) separately for every embankment structures, bridge, viaducts, tunnel, eco-duct, noise barrier and other structures. The following data shall be provided and compared for the analysis of these options: CAPEX, OPEX, life cycle costs; Lifetime; Maintenance program with conditions; Any other data necessary for comparison analysis of different options (for example, monitoring systems for bridges, embankments etc.). The reports of Value Engineering for structures shall be prepared in consultation with the Client as well as relevant Affected parties and approved by the Client. Value Engineering of embankment structure The Consultant shall propose different design options for railway embankment structure by considering the availability of local mineral materials (including its properties parameters) to be used for railway embankment construction, as well as ground water level, water drainage conditions, existing land melioration conditions etc. Consultant shall carry out laboratory testing in accordance with Annex No. 5 Ch. 2.1.2.6, according to the requirements and test methods listed in Design Guidelines, from locally available , existing quarries within 60 km distance from the railway line. In case the laboratory test results indicate to insufficient amount and quality of mineral materials which meet the requirements described in Design Guidelines , then the Consultant shall carry out laboratory testing in accordance with Annex No. 5 and requirements and test methods listed in Design Guidelines requirements, from the quarries within 120 km distance from the railway line or in greater distance if the total cost of material and transportation is competitive. Consultant shall propose different embankment design options for geotechnically similar railway line sections from local quarries. Options should be designed by using only locally available mineral materials based on requirements described in the Design Guidelines. Options are as follows: Technical individual solution using local material in radius up to 60 km. Technical individual solution using local material in radius up to 120 km. Consultant shall carry out substructure bearing capacity calculations and submit proposal of possibility to achieve the requirements set out in the Design Guidelines, railway substructure by increasing the thicknesses of earthwork layers using available local mineral materials. Consultant shall study and consider of possibility to use different stabilisation methods for mineral materials to fulfil the required parameters set out in the Design Guidelines. Consultant shall work out 3 possible design options for marshlands areas if unsuitable material depth is more than 3 meters. Options are as follows: Individual design with Geosynthetics Other individual design according compressible soil area requirements Replace unsuitable materials Consultant shall secure safe track during 100 years with required bearing capacity and without frost heave. The Consultant shall consider the results of the studies for mineral materials implemented in the Country. Value Engineering for eco-ducts Consultant shall design eco-ducts according to Eurocodes and based on Country’s legal requirements. If requirements are missing, then the minimum requirements are the following: If planned traffic is missing, then minimum calculated vehicle load should be 600 kN (for emergency situation) and axl e load 150 kN; If local traffic will pass eco-duct then calculated vehicle load should be 1200 kN, and axl e load 150 kN. Eco-duct calculated lifetime should be 100 years. Value Engineering for noise barriers Consultant shall design noise barriers according noise studies, calculations (includ ing noise 3D model) and legal acts. Consultant shall prepare Analysis of land demand (including land area necessary to maintain the noise barriers); When choosing the type of noise barrier, excess material not suitable for railway construction or recycled materials that reduce noise to the level required by law, should be used as much as possible. The Consultant shall offer 3 solutions for each noise barrier wall with visual drafts, 2 of which are made with recyclable material and one solution, which is the most effective solution in the opinion of the Consultant. Value Engineering report review / approval The review / approval process of Value Engineering reports for railway alignment provided to the Client shall take up to 45 (forty five) days. The Client shall prepare the technical review report and arrange necessary agreements with Beneficiaries, Implementing bodies and relevant Affected parties. The review / approval process of Value Engineering reports for structures provided to the Client shall take up to 14 (fourteen ) days. The Client shall prepare the technical review report. The technical review approval report has three options: confirming that the report is compliant and Master Design stage with preferred option can be started with additional recommendations of Client; confirming that the report is compliant and Master Design stage with preferred option can be started with no additional recommendations of Client; defining the value engineering report as non-compliant and requiring resubmission of the report. Master Design structure The first major deliverable for the Design process is the Master Design. The Master Design contains all technical parts of the design and consists of technical description, drawings, calculation notes and cost estimate. Detail solutions shall be worked out on the level that Client could analyse the construction budget. The purpose of the Master Design is to determine and ensure the Client and the Consultant of the principal outcome of the Detailed Technical Design. No major changes are expected after the approved Master Design barring exceptional circumstances. The technical solutions defined in the Master Design shall provide sufficient and clear detail of the project scope for the appropriate authorities to evaluate the interoperability, safety, environmental aspects, rationality and technical performance of the railway and related facilities to approve the project. The technical requirements for the Master Design are as follows: Prepare d technical solutions for the section of Rail Baltica infrastructure, including typical drawings for the railway line and relevant cross-sections, (including electrification, control, command and signalling (CCS) and communications systems, stops, snow cleaning systems ) stations and civil structures – road crossings, river crossings and culverts, pedestrian and animal crossings, utility crossings, landscape design, noise reduction solutions, fencing, etc. A ll necessary investigations complete . All existing utilities and their connections need to be shown in the design with information of the owner of each specific utility. Prepare detailed technical drawings with a detailing level corresponding to a master design – general, but precise enough so that the main details and the main requirements for precise detailing in further design works process are clear. Prepare the necessary crossing schematic drawings according to the requirements for multi-level crossings, ensuring a safe and comfortable crossing of the railway track. Solutions must be created in consultation with respective Affected parties . Design the plans and longitudinal profiles of the proposed crossings to a detailing level that would provide enough input information for the civil designs and work estimation. Based on the input of as the Client , show the electric sub-station locations for the railway. Design railway bridges together with catenary post , grounding and signalling and catenary cable channels according requirements in Design Guidelines. Prepare cost estimate with a detailed split for infrastructure elements, types of work, sections of railway based on required Bill of Quantities . Prepare the final list of real estates and land plots with borders needed for the railway and related civil structures. For each land plot a detailed drawing must be prepared, indicating current land plot borders and necessary part for land acquisition, surface area values, which takes into account local municipality rules of land division and provision of access to the remaining land plot parts. Prepare technical solutions for the railway line, including: Schematic track layout for the railway line including main track and side tracks, station areas, passing loops, cross overs etc.; Railway line layout (horizontal alignment) (scale 1: 10 00 ) with related ditches, roads, utilities, other structures/ buildings placement and planned railway track s ; Railway line longitudinal profiles (vertical alignment) (vertical scale 1: 200 , horizontal scale 1: 5000 ) combined with railway line layout (scale 1: 5000 ) on orthophoto , utilities, ditches and geological, hydrogeological data; C ross-sections (scale 1: 100 ) including superstructure, substructure, land plot boundaries, drainage structures , ditches, cables , pipes, etc. and geological , hydrogeological data ; Diagram of design speed permitted according alignment parameters ; Railway civil structure part: bridges with catenary posts and cable channels, crossings, showing overview plan, cross section and elevation, indicating the length of spans, used materials and dimensions of bearing structures. Culverts, groundwater, drainage and storm water management systems; Passenger platforms; Road and pedestrian segregated-grade crossings; Noise barriers and other technical solutions for reduction of noise and vibration; Cabling along railway line; Access and maintenance roads along railway line; Communication and utility networks, including crossings, local roads, state roads and other affected infrastructure . Any additional drawings and documents according to Country’s legislation . The Consultant shall provide a list of text and graphical documents, such as drawings, sketches, plans, schemes, diagrams, etc., and propose exact appearance of these documents for Master design to define the scope of graphical documents and minimum level of detailing. Alternative scales may be offered. The Consultant shall correct/improve/supplement the list and/or minimum level of detailing and get Client’s approval. Consultant shall provide any additional graphic materials/documents or other information if it is necessary to do according to reasonable requirements of approving authorities. Includes a collection of all technical conditions received and preliminary approvals by the Affected parties that issued them. BIM and LOD for Master Design are described in the BIM Employer’s Information Requirements. All power supply, catenary, signalling , ERTMS posts and cables layout without systems based on Design Guidelines shall be designed as C onceptual design . All loads from catenary system shall be calculated and integrated to embankment, bridges, tunnels, viaducts and platforms load calculations. All local passenger platforms with lighting (with designed network connections from e nergy suppliers ), pedestrian and cyclist roads, catenary posts and catenary and signalling cable layouts with passengers’ information system facilities (without systems) of local passenger stops , snow cleaning systems shall be designed in C onceptual d esign level (land plot borders shall be determined) according Detail BIM Strategy. Starting point (0+0 0 0) for Master design section Tallinn-Rapla will be the end of section 9 of preliminary design (km 10+745) and railway distance will be counted towards Rapla. Later this starting point (0+00 0 ) will be moved to new position due to design of Ülemiste station (not part of this Contract). Client will provide new coordinates to Consultant and Consultant shall make corrections in railway distance according to new starting point. Consultant shall give report (table) of all railway sections, bridges, viaducts, ecoducts and other structures titles comparison. All data in preliminary desing and master design shall be comparable (PD vs MD/DTD) and to be able to identify. Starting point (0+000) for design priority section 3 Soodevahe – Muuga shall be Rae station. Consultant shall design all roads (access road, local road, state roads), road viaducts and ecoducts (or animal passes) on the level on Principal Design Documentation (põhiprojekt). Level of design requirements is based on requirements from Building Code and Requirements for road design (1.3. 1 ; 1.3. 4 ; 1.3. 6 above). Master Design review and approval The Master Design shall be submitted to Client for review. During Master Design process Consultant shall provide required information to NoBo as well as design expertise expert ( to be organised separately by the Client ) . Administrative review. After receipt of the provided Master design in a period of up to 10 (ten) days Client will carry out administrative review. The aim of the administrative review is to check whether the Master design provided is complete. If submission is incomplete, Client requests resubmission of the Master design in full scope. Technical review. After receipt of a complete Master Design in a period of up to 45 (forty five) days Client together with Beneficiary representatives will prepare the technical review report. When Master design has been approved by Administrative review, Client will organise d esign expertise of Master design. At least one review meeting with Client takes place during the review period. The technical review report together with independent expertise report has following options in Estonia: Confirming that the Master design is compliant and work on Detailed T echnical D esign can be started with no additional recommendations. Confirming that the Master design is compliant and work on Detailed T echnical D esign can be started with recommendations to be implemented. The Consultant is responsible for implementing the recommendations in the Detailed technical design. D efining the Master design as non-compliant and requiring resubmission of the Master design. When M aster D esign is compliant to Agreement requirements then the Consultant shall start construction permit application process. If authorities will reject the application, then Consultant shall improve Master design without additional cost. Detail Technical Design structure Designer shall design Detail Technical Design (Tööprojekt) works according Technical requirements based on Estonian legislation described above and on the level BIM requirements described in Detailed BIM Strategy . Consultant shall design the maintenance manuals for the design constructions as a part of Detailed T echnical D esign . All materials and products shall be described via technical requirements and technical characteristic. Detail Technical Design review and approval Detailed Technical Design is submitted to Client for review by the Consultant. Administrative review. After receipt of the provided Detailed Technical Design in a period of up to 10 (ten) days Client will carry out administrative review. The aim of the administrative review is to check whether the Detailed Technical Design provided is complete. If submission is incomplete, Client requests resubmission of the Detailed Technical Design in full scope. Technical review. After receipt of a complete Detailed Technical Design in a period of up to 45 ( forty-five ) days Client will prepare the technical review report. The technical review report has two options in Estonia: Confirming that the Detailed Technical Design is compliant and construction works can be started with no additional recommendations. D efining the Detailed Technical Design as non-compliant and requiring resubmission of the Detailed Technical Design The Client shall receive complete sets of approved DTD documentation in at 1 original set (printout) for every construction permit/construction object as defined in the Technical Specification. Language The Consultant shall prepare bilingual design documentation, i.e. in English and Country’s language. Client is not and shall not be responsible for the translation of national legislation into English language. The Consultant shall prepare all necessary deliverables within the deadlines specified in the Agreement . All deliverables shall be delivered also in hard copy format . The Bill of quantities needs to be delivered to the CDE in the required file formats. In addition, all files shall also be delivered in Excel, Word and PDF format. The Consultant shall deliver the Bill of quantities according to the requirements of each Countries legislation, laws, rules and standards. Visual isation of technical solutions The Consultant , after agreement with the Client on the scope and content , shall prepare the visualisation data set for every Value E ngineering option and 2 visualisation data sets for every Design priority section . The Consultant shall follow t he following minimal requirements and guidelines for the preparation of the visualisation data set : Overview of the planned alignment and landscape situation including orthophotos; A flyover video of full design section shall be created showing the administrative municipality, town and city borders including a 360-degree flyover of most interesting and meaningful point-type construction objects; Detailed and realistic render of 100 m wide corridor along the track alignment axis; 500 m - 1 km on both sides of the track of simplified surrounding terrain including forest areas, buildings, bodies of water (e.g. rivers or lakes), high voltage lines and other meaningful landmarks; Designed and existing bridges, viaducts, tunnels, eco-ducts, roads and other ecosystems; Designed noi s e barriers, fences, electric cables, catenary posts, lighting equipment; Designed underground utilities shall be represented by using a cross section cut at several places of the design section; Moving passenger and freight (where applicable) train models; Moving existing train and road vehicles, if applicable - In situations if the designed alignment corridor crosses or comes near (up to 3 km from alignment axis) to the existing train or road infrastructure; All the graphics, texts or numbers used in the video must align with visual identity of the project and must be agreed with the Client; Technical specifications of the video: Resolution: 1920x1080px File format: *.MP4 or *.MOV (encoded using H.264 codec for the best quality/file size ratio) At least 25 fps Design Supervision process The Consultant shall ensure the Design S upervision S ervices for the Design sections with the involvement of the expert s responsible in the D esign S ervices . The Consultant shall carry out the Design S upervision S ervices for all sections /construction objects/construction permits in accordance with Country’s c onstruction legislation and these Technical Specifications. The Design S upervision S ervices include s supervision of cultural heritage objects’ design (reconstruction) implementation in accordance with Country’s legislation. The Consultant shall provide the Design supervision reports to the Client. The Consultant shall coordinate with the Client the decisions taken by the Consultant during the Design S upervision S ervice s provision. The Consul t ant shall agree with the Client the approval of variation orders being issued during the construction process. The Consultant is responsible for construction site visits according to the programme of the Design S upervision S ervice s , to ensure work and material quality standards and each construction site survey shall be entered in the author’s supervision journal . Consultant is not obliged to perform construction supervision according Country’s legal acts. The Consultant shall attend construction work consultations and construction site meetings at the time coordinated with the Client representatives. The meetings shall be attended by specialists requested by Client and according implemented construction activities. It is planned that construction site meetings will take place once per week at weekly meetings and monthly meetings . The Consultant, without request of the additional compensation, shall attend construction site also outside normal working hours . T he Client shall inform on the technical reasons of the visit. The Consultant shall carry out the corrections of design errors during the course of the construction works, without additional compensation. The Consultant undertakes to inform the Client in writing immediately about the discovery of any deviation from the design. The Consultant shall carry out the necessary DTD modifications and additional technical solutions with the approval of the Client and/or Affected party and/or NoBo and/or d esign expertise and/or building authority as applicable in a fastest possible manner and format, so that construction works could progress without or minimum delays. For instance, issue approved/signed modified DTD drawings with hand corrections or CAD standard format drawings (DWG and DGN etc.) and then within 2 weeks’ time respectively integrate in the BIM. The Consultant shall propose and agree the modification procedure with the Client, before start of the construction works. The files shall be provided to Client in editable formats (DWG, DGN, etc.). The Consultant shall carry out changes or corrections of the MD and/or DTD without additional compensation if the need arises due to mistake or nonconformity in the DTD or other fault or inaction of the Consultant. In such cases the Consultant ensures repeat technical assessment of the DTD, approvals in the state and municipal institutions, building authority (if needed) on its own expenses and without Agreement extension. The Consultant shall ensure conformity with the DTD during commissioning completed construction works within the scope of the Designer’s responsibility. The Consultant shall check building structures, technological and other equipment, construction products and materials compliance with the DTD and the Designer shall not to allow inappropriate building constructions, technological and other equipment, construction products and materials utilization if those don’t comply with the DTD. Consultant shall consult Client on current issues and, if necessary, provide additional instructions to deliver details . The Consultant shall check if the DTD and as-built documentation is up-to-date. Upon the request of the Client the Consultant shall arrive to the construction site as early as possible, but latest 48 hours after the request is received. The Contactor shall arrive to the construction site (or to respond to the request through the electronic communication means, if this is possible ) within 24 hours if the need arises due to mistake or nonconformity in the DTD or other fault or inaction of the Consultant. The Consultant undertakes to provide the S ervice s carefully, in the best interests of the Client and for the best benefit of the Client, to act during the S ervice s on the level of generally recognized professional skills and to prevent damage to the Client. The Consultant undertakes to immediately inform the Client in writing in all substantial circumstances related to the provision of the S ervice s , in particular those that may induce the Client to change the instructions given to the Client. Disclosure of performance difficulties shall not limit the Consultant’s liability arising from this Agreement . The Consultant undertakes to submit to the Client once per month written report on the content, volume, delivery time and with the provision of the S ervice s . The Consultant shall return to the Client everything that has been received and created in during the period o f provision of the Services , as well as what Designer has received from the Client and which he did not use for the provision of the S ervice s . The Consultant is obliged to transfer the documents obtained or provided during provision of the S ervice s to the Client within 30 (thir t y) days after the necessity to work with the documents has expired. Key-expert No. 9 : Environment expert Project experience experience as Environment expert in at least one completed railway or road infrastructure development project covering Environmental Impact Assessment within the last 7 years (2012, 2013, 2014, 2015, 2016, 2017, 2018, including year 2019) . Language level English at least B2 Level. Key-expert No. 1 0 : Interface manager Project experience experience as a responsible for technical interface management in at least one railway design project completed within the previous 5 years (2014, 2015, 2016, 2017 , 2018 , including year 2019 ). Language level English at least B2 Level. Approval process of key-experts The Consultant shall receive an approval from the Client on the proposed key-experts. The Client shall reject the proposed key-expert in case of non-compliance with minimal qualification requirements. If a certificate or /and other legal recognition document is required according to Country’s national legislation for an expert to carry out the D esign S ervices, is not available before the Consultant submits the list of key-experts for the approval by the Client, the Consultant is required the following: to prove that such expert has submitted an application to receive a certificate; the Consultant shall ensure that such expert has necessary education and experience to fulfil Country’s national requirements to receive a certificate or/and other legal recognition document ; the Consultant takes full responsibility for the risk if such expert would not receive a certificate due to Consultant’s fault or insufficient understanding of Country’s national regulations regarding certification procedures and this situation would delay the provision of the Design Services . The Consultant shall provide written and signed reference from a client proving key-expert’s required project experience. In case a certain reference is not available, the Consultant shall provide a self-signed declaration proving key-expert’s required project experience with client’s contact information. Certification requirements for key-experts The Consultant shall be responsible for ensuring that the proposed Key-experts would have necessary certificates or/and other legal recognition documents in accordance to the Country’s construction legislation. Change procedure for the key-experts Only in exceptional cases key-experts included in the Agreement can be replaced. The Consultant has no right to change the key-expert without the approval of the Client. For each key-expert change, the Consultant shall obtain Client approval. The proposed key-expert’s qualifications must be equivalent or better than the replaced key-expert. The Client reserves the right to request the Consultant to replace a key-expert in case of any of the following reasons: repeated careless performance of duties; incompetence or negligence; non-fulfilment of obligations or duties stipulated in the Agreement ; poor knowledge of English language (unsatisfactory presentation, writing skills in English); termination of employment relations with the Consultant (Sub Consultant); design rights no longer exist , or certificate expired during design; Failing of the Consultant to propose another key-expert with equivalent or better qualifications within 10 (ten) days, the Consultant is considered to be under Delay of obligations pursuant to the Agreement. To change the key-expert, The Consultant shall submit a request with all documents necessary for the Client to make sure that the proposed key-expert satisfies the qualification requirements set for him. The Client shall approve or reject the replacement, by specifying the reasons for rejection, of a key-expert as soon as possible, but no later than within 10 (ten) days after the receipt of all information and documents necessary for a decision and approval in accordance with the provisions in this Agreement . Additional experts The Consultant shall ensure the participation of all the necessary additional experts, including certified/licensed experts in such a number to complete this project. The following non-exhaustive list of additional certified and licensed experts according to the Country’s legislation are required at least in this project: Special planning expert, Construction planning experts (in the related fields of expertise), Architect, Power networks designers for all types of voltage, Geospatial data experts (geodetical, land management and land cadastral surveying works), Road designer, Designers for different structure and building demolishing designs, Railway signalling expert/designers (including for rebuilding existing 1520 mm railway), Railway catenary expert /designer (including for rebuilding existing 1520 mm railway) Railway track designers (for rebuilding existing 1520 mm railway) Electronic communication systems and network designer (including for rebuilding existing 1520 mm railway) All certified/licensed designers/experts to reconstruct all Affected parties’ utilities (e.g. gas /oil supply networks, heat supply networks, water supply networks, canalization networks, communication cables, drainage systems etc.) All certified/licensed experts in the related field of environment issue (e.g. mammal monitoring, species and habitat protection experts, noise expert etc.) assessment, investigations, monitoring and consultations as required in the environment requirements. Public relations coordinator, Stakeholder management coordinator, Cultural heritage expert, Deforestation expert (to prepare deforestation plans), Technical translators, Etc. The Consultant shall include additional expert s in the Consultant’s team, if it is need for design or the Client request to include. The qualification of additional experts must comply with the requirements of the design area or related field and Country’s national legislation (if applicable). The Client does not place any additional qualification requirements for additional experts. The Consultant is responsible for the validity of the additional expert’s certificate or/and other legal recognition document (if applicable) and to ensure its validity during the design. No additional approval is required for the changing or the including of additional expert. The Consultant shall inform the Client about this within 5 (five) days in case of an additional expert exchange or include. Quality assurance The Consultant must prepare and submit to the Client the Consultant’s Quality Assurance Plan. The Consultants is responsible for and shall guarantee that the investigation works and the Design S ervices are controlled at all aspects of the Project implementation, and compliance with standards and requirements is ensured. The Quality Assurance Plan shall be submitted to the Client within the scope of Inception report. The Quality Assurance plan shall include at least the following: Staff organization, resources and means; Management system and responsibility; Control organization and procedures; Design control and management; Calculation checks and documentation; Review procedures; Control of measurement and tests, and control of remedying of deficiencies; Control of suppliers and sub-Consultants; Document, designs, report register control (document management plan) . The Consultant shall prepare and submit to the Client within the scope of Inception Report, in accordance with Clause 4.3.1 of the General Conditions and Particular conditions, the Programme, including, but not limited to: 2.1. the risks management section, stipulating how exactly the Consultant will coves risks specified in Technical Specification, including risks deriving on the application of Technical Specification; 2.2. the project organisation chart with key-experts with names and surnames and also CV’s and supporting information proving their compliance with the qualification and other requirements stipulated in the Technical Specification and non-key experts for each discipline category, roles and responsibilities; 2.3. detailed Service schedule with all Service activities according to the Services that has to be provided under the Agreement. This schedule shall reflect key deliverables of the documents, reviewing and approval processes, including the time required for the review, expertise and other options; 2.4. description of the main Service processes; 2.5. a clear graphically distinguished critical path; 2.6. estimated expected payments (cash flow) in monthly intervals; 2.7. BEP plan as required in the Technical Specification. The Programme must be prepared in PDF and Primavera P6 formats. For the purpose of submitting the Tender the PDF only version is acceptable, however, for the Consultant, as a minimum, the Contracting Authority requires a conversion to Primavera P6 , plus PDF. P3e and other formats are not allowed, to the level of detail equivalent to AACE Level 4 (detailed level; program) or equivalent. Detailed Service schedule should be prepared in Microsoft Excel and Primavera P6 formats. Monthly status updates should be done in Primavera P6 formats, but weekly - in Microsoft Excel format and shared with the Client. Detailed Service schedule weekly status updates should include justification for any foreseen delay. The above will be treated as unilaterally made explanations by the Consultant. The Client reserves all rights thereto. The Consultant shall prepare, submit and present the Project Management Plan (the document that describes how the project will be executed, monitored, controlled, and closed after the Warranty period, and Defect Notification period) in accordance with PMBOK (Project Management Body of Knowledge), or IPMA (International Project Management Association) or other equivalent/similar requirements. If this plan is included in the Programme, the Consultant shall provide it in the separate section. Within fourteen (14) Days after Agreement Amendment No 9 enters into force the Consultant shall provide the Client with a detailed Primavera P6 schedule covering all Design Services remaining scope, after omissions (Annex 2 [Omitted DTD Services for EE DS2]). The Consultant shall commit to execute the Services within the framework stipulated in Annex 2 [Omitted DTD Services for EE DS2]. The Consultant states that it is feasible to execute the Services and states that there is no event, required condition or circumstance known to the Consultant and within/under direct control of the Consultant that could preclude the Consultant from implementation of the Annex 2 [Omitted DTD Services for EE DS2] in quality required contractually and by applicable laws. This does not limit the right of the Consultant to claim for extension of time in accordance with the Agreement if there are justifiable circumstances, as well as the right of the Client to apply contractual penalties. VO-31 Truubi lisamine loomade läbipääsuks Kangru liiklussõlme kergliiklustee OR0545 (PK 5+90) põhiprojekti. DPS2-RW0600 raudtee põhitrassi põhiprojekti hooldusteede korrigeerimine (PK 0+000 - PK 2+000). Kangru liiklussõlme keskkonnamõju eelhinnangu ning Kangru-Harju ja Rapla maakonna piir - keskkonnamõju hindamise aruande (KMH2) teksti korrigeerimine. Maksumus 4 027,58 eurot ilma käibemaksuta. VO-35 - Täiendava riskianalüüsi koostamine seoses saasteainete sattumisega Kurna ojja, mis kirjeldaks keemiareostuse õnnetuse korral ohtude maandamist. Lisatöö maksumus 7 775,12 eurot ilma käibemaksuta. VO-41 - H üdroloogiliste arvutuste alusel DPS1 ja DPS2 raudteelõikude drenaažisüsteemide toimivus e kontrollimine vastavalt uuendatud standardis EVS 848:2021 esitatud väärtustele ( täiendav hüdroloogiliste kalkulatsioonide aruanne mõlema prioriteetlõigu kohta ). l isaks RW0400 U-kraavide Design Guidelines (DG) erisuse (Derogation) nõu de kontrollimine vastavalt uuele standardile. Muudatustöö kogumaksumuseks kujuneb 16 984,52 € (ei sisalda KM). VO-46 - Tellija ei edastanud projekteerijale pikka aega konkreetseid suuniseid, kas ja kuidas RRK Muuga kuivsadama projektist tulenevaid võimalikke muudatusi tuleb põhiprojekti rakendada, mis lükkas omakorda edasi ka teiste DPS3 põhiprojektide esitamise tähtaegasid ning põhjustas muudatuse vajaduse vastavalt lepingu punktile 5.1.2 e . Muudatustöö maksumus 11 101,34 eurot ilma käibemaksuta. VO-48 - Tellija ei edastanud projekteerijale õigeaegselt vajalikku infot süsteemialade asukohtadest, mistõttu ei saanud projekteerija jätkata projekteerimistöid DPS3 põhiprojektidega ja põhjustas muudatuse vajaduse vastavalt lepingu punktile 5.1.2 e. Muudatustöö kogumaksumuseks kujuneb 11 669,29 eurot ilma käibemaksuta. VO-50 - Tellija ei edastanud projekteerijale õigeaegselt ekspertiisiteenuse raporteid, mistõttu pidi Konsultant (IDOM) viimast projektversiooni täiendavalt korrigeerima, mis lükkas omakorda edasi ka DPS1 põhitrassi raudteepaki RW0400 ja sellega seotud OU0400 paki vastuvõtmise Tellija poolt ning põhjustas muudatuse vajaduse vastavalt lepingu punktile 5.1.2 e. Muudatustöö kogumaksumuseks kujunes 2 542 eurot ilma käibemaksuta. Tellija l ei ole vajadust tööprojekti järele 1520 mm ajutise ümbersuunamise osas Soodevahes (DPS3-RW0380) ning ehitusluba sellele ei taotleta, seetõttu tuleb DPS3-RW0380 tööprojekt Lepingu m ahust välja arvata. Hankelepingu maksumus väheneb 27 868,04 € (ei sisalda KM) võrra. Muudatuse põhjendus: Rail Baltica (RB) raudteega ristumise kohale oli Altmetsa tee Value Engineering projekteerimisetapi RB Rail AS poolt heaks kiidetud lahenduses ette nähtud kaks eraldiseisvat viadukti, üks üle RB raudtee ning teine üle Põhjaranna tee. Viaduktide vaheli ne ala paiknes Altmetsa tee muldkehal. RB Rail AS (RBR) poolt esitati 11.03.2022 peetud koosolekul juhis muuta viadukti lahendust nii, et muldkeha osa eemaldatakse, kuna maaomanikuga ei jõutud kokkuleppele muldkeha nõlva paigutuses tema maale. Seega oli vaja projekteerida üks pikk viadukt üle RB raudtee ja Põhjaranna tee. Seoses nimetatud lisatööga muuta vastavalt alltoodud lepingu lisasid: Appendix 3: Programme Appendix 4: Remuneration and Payment. 2022. aasta oktoobris väljastas Keskkonnaamet uue kahepaiksete kaitsevööndi juba valmis projekteeritud Rail Baltica Kangru liiklussõlme alale. Kuna Männiku kergliiklusviadukt BR0545 ja kergliiklustee OR0545 asuvad kaitsevööndi alal, siis nõudis Keskkonnaamet Kangru-Harju ja Rapla maakonna piir ehitusprojekti keskkonnamõjude hindamise protsessi (KMH2) ajal, et kahepaiksete kaitsevööndisse jääva kergliiklustee muldkeha alla tuleks projekteerida truup, mis tagaks väikeimetajatele läbipääsu. Lisaks tuli uue kaitsevööndi tõttu täiendada Kangru liiklussõlme keskkonnamõju eelhinnangu teksti ning ka Kangru-Harju ja Rapla maakonna piir - keskkonnamõjude hindamise aruande (KMH2) teksti. Kaitsevööndi mõju tõttu tuli osaliselt ümber projekteerida Kangru liiklussõlme alale jäävaid Rail Baltica põhitrassi (RW0600) hoolduste e d. Kangru liiklussõlme projekt saadeti 18.05.2021 Value Engineering (VE) etapi käigus Keskkonnaametile kommenteerimiseks. Keskkonnaamet ei edastanud kommentaare eelnevalt mainitud kaitsevööndi osas. Lisaks ei teinud Keskkonnaamet vastavasisulist märkust Kangru-Harju ja Rapla maakonna piir- keskkonnamõjude hindamise kaasamise esimese ringi käigus ajavahemikul 14.03.-13.04.2022. DPS2 VE projekt võeti vastu RBR-i poolt 17.12.2021. Kuna k ahepaiksete kaitsevööndi piire uuendati p ärast DPS2 VE-etapi RBR-i poolset vastu võtmist ning Keskkonnaametilt saadi info projekti hilises faasis, on antud projekti täienduste puhul tegemist muudatustööga ning DPS2 BP14-RW0600 ja BP18-OR0545 põhiprojekti tähtaeg pikeneb 6 nädala võrra. Seoses nimetatud lisatööga muuta vastavalt alltoodud lepingu lisasid: Appendix 3: Programme Appendix 4: Remuneration and Payment. DS2 DPS2 Kurna oja raudteesilla (BR0130) juures asuvad projekteeritud settetiigid, millele pidi Konsultant (IDOM) küsima Tallinna Veelt (TV) kooskõlastust, sest sealt suunatakse vesi Kurna ojasse, mis omakorda suubub Ülemiste järve. Konsultant oli projekteerimise käigus KMH-st tulenevad nõuded ja TV poolt varasemalt väljastatud tehnilised tingimused juba projekti sisse viinud. Vaatamata sellele ei tahtnud TV enda poolset kooskõlastust DPS1-RW0500 projektile anda. 29.11.2022 toimus koosolek TTJA, Keskkonnaameti, RB Rail AS (RBR) ja Rail Baltic Estonia OÜ (RBE) vahel, mille järgselt lepiti TTJA ja Keskkonnaameti suunisel kokku, et RBR palub IDOM-il koostada täiendava riskianalüüsi Kurna oja jaoks, mis kirjeldaks keemiareostuse õnnetuse korral ohtude maandamist. Riskianalüüsi ja tegevusplaani koostamisel palus RBR projekteerijal 15.12.2022 peetud koosolekul arvestada kõige ebasoodsamate tingimustega (Q1%), kus kord 100 aasta jooksul toimub ulatuslike hoovihmade tõttu kraavide ja settetiikide osaline üleujutus. IDOM esitas riskianalüüsi ning TTJA ja Keskkonnaamet kinnitasid, et see on piisav juhuks, kui TV peaks ehitusloa menetluse käigus negatiivset tagasisidet andma. Tallinna Vee poolt tõstatatud riskid on riskianalüüsis käsitletud ja maandatud ning võimaliku avariiolukorraga arvestatud. Tallinna Vee poolt 2022. aasta lõpus nõutud riskianalüüsi polnud nõutud 12.12.2019 esitatud tehnilistes tingimustes PR/1974391-2 ega ka 14.10.2021 esitatud tehnilistes tingimustes PR/2153006-2. Seega on tegemist uue nõudega projekti hilises faasis mida tuleb käsitleda lisatööna. Seoses nimetatud lisatööga muuta vastavalt alltoodud lepingu lisasid: Appendix 3: Programme Appendix 4: Remuneration and Payment. RB DG sätestab, et drenaaži projekteerimisel tuleks lähtuda kohalikest standarditest. EVS 848 standardi 2013 a. versioon kehtis DPS1 ja DPS2 lõigu esimeste raudtee põhiprojektide koostamise ajal, kuid standardit uuendati 2021. aasta alguses ning kehtima hakkas EVS 848:2021, mis võtab arvesse viimase kümnendi jooksul sagenenud ekstreemseid ilmastikuolusid. DPS1-RW0400 põhiprojekti raames esitas Konsultant (IDOM) DG erisuse dokumendi heaks kiitmiseks, seoses U-kujuliste kraavide drenaažiga, mille läbivaatuse järgselt märkis RB Rail AS (RBR) hüdroloogia ekspert et RW0400 raudtee drenaažilahendus nõuab täiendavat uurimist, kuna IDOM oli drenaažisüsteemi arvutustes kasutanud 2013. aasta standardi väärtuseid (vooluhulgad, sademete sagedus jne). RBR palus IDOM-il DG erisuse nõudes olevad arvutused korrigeerida vastavalt kehtivale standardile ning uuris, kas standardi muutus avaldab täiendavat mõju ka raudtee põhiprojektidele. IDOM esitas e-kirja teel esialgse hinnangu, kus väitis, et hüdroloogia standardi muutus avaldab mõju pikisuunalisele drenaažile, kuid olulist ohtu see endast RW0400 ja RW0500 raudtee projektidele ei kujuta. Projektijuht ja RBR-i hüdroloogia ekspert leidsid, et põhitrassi puhul on siiski oluline saada projekteerija poolne ametlik kinnitus, et drenaazisüsteem on toimiv ka 2021 a. standardi väärtuste korral ning ohtu raudteele pole. RW0400 põhitrassi raudteelõigul, mis saab alguse Tallinna linnast, on ruumipuuduse ning eesvoolude vähesuse tõttu sademevee ärajuhtimisele piiranguid. RW0500 põhitrassi raudtee asub suures osas sügavas (Assaku) süvendis, mis seab samuti raudtee drenaaži projekteerimisele teatud piirangud. DPS2 põhitrassi raudteepakid RW0600 ja RW0700 on kuivenduse seisukohast vähem tundlikumad, kuid siiski oleks kontroll vajalik, et vältida hilisemaid probleeme raudtee opereerimise faasis. Konsultant esitas 06.06.2023 e-kirjas, et täiendava hüdroloogilise analüüsi koostamine hüdroloogia standardi mõjudest DPS1 ja DPS2 projektide osas maksaks u. 15 000 € ning DG erisuse nõude korrigeerimise osas 3000 €. 26.06.2023 andis Tellija projektijuht e-kirja teel Konsultandile juhise teha antud lisatöö. 26.07.2023 esitas IDOM tehnilise hinnangu hüdroloogia standardi mõjudest RW0400, RW0500 ja OS050 põhiprojektidele ning 23.10.2023 ka RW0600 ja RW0700 põhiprojektidele. Muudatustöö tellimine oli samuti vajalik, et saada põhitrassi raudtee RW0400 ja RW0500 ehitushangete jaoks vajalik sisend vajalike projekti muudatuste osas. Pärast IDOM-i hüdroloogiliste arvutuste kontroll tuli RW0500 hankes tööprojektiga ette näha täiendavat nõlvakindlustuse projekteerimist ning ehitamist 2 km ulatuses, mis lisati RBE ehitushanke tehnilisse kirjeldusse. IDOM-i poolt esitatud lisatöö, mis sisaldas täiendava tehnilise analüüsi koostamist DPS1 ja DPS2 põhitrassi raudteelõikude osas ning RW0400-ga seonduva DG erisuse nõude korrigeerimist, saadeti IDOM-i poolt RBR-ile 24.07.2023 kirjaga LET-381. Korrektne ja korrigeeritud lepinguliste hindadega (kilomeetri põhiste hindadega) lisatöö esitati 08.08.2024 kirjaga LET-479. Seoses nimetatud lisatööga muuta vastavalt alltoodud lepingu lisasid: Appendix 3: Programme Appendix 4: Remuneration and Payment. Tellija ( RBR ) informeeris 2022.aasta märtsis Riigiressursside Keskuse (RRK) esindajat, et Muuga kuivsadamaga piirnevas lõigus osutus põhiprojekti koostamiseks valituks Value Engineering (VE) projekteerimisetapi alternatiiv 1B. Olles tutvunud VE materjalidega, tegi RRK aprillis täiendava ettepaneku nihutada Vana-Narva mnt (Kroodi) viadukti juures oleva pöörme ja siirde asukohta lõuna poole, mille tagajärjel jääks siirde uus asukoht Maardu jaama juurde, mis võimaldaks omakorda RRK-l projekteerida enda tulevased jaamateed 45 m pikemaks. 2022. aasta juulis kinnitas Tellija (RBR) Konsultandile (IDOM), et RRK ettepanek ei muudaks põhitrassi geomeetriat ning tegi ettepaneku pidada täpsustav koosolek IDOM-i ja RRK vahel. Enne 06.09.2022 toimunud koosolekut edastas RRK RBR-ile Muuga kuivsadama ja RB vahelise ala ristlõiked uut tüüpi lahenduse ettepanekuga, kus Maardu tunneli lääne poolsem (ehk RRK kuivsadama poolsem) osa oleks rajatud avatud süvendis, 1:2 nõlvaga. RRK lahenduse rakendamine eeldaks kuivsadama poole jääva tugimüüri eemaldamist ning veetaseme alandamist tunneli ümbruses. Pärast joonistega tutvumist märkis IDOM koosolekul, et välja pakutud lahendusega võivad nende kogemuse põhjal kaasneda probleemid tunneli kõrval asetsevate rajatiste (raudteed, maanteeviadukt) püsivusega (võivad tekkida vajumid) ala veerežiimi muutmise tõttu, lisaks võib tekkida vee sissevool tunnelisse nõlva kaudu. Probleemiks võib osutuda ka pinnase või ehitusmaterjalide uhtumine tunneli alt (nö piping effect), kuna pinnasevee tasemed (ning ka veesurved) erinevatel tunneli külgedel oleks erinevad. IDOM soovis jätkuvalt projekteerida c.a 1 km pikkust Maardu tunnelit ühe tervikliku rajatisena koos tugimüüride/seintega mõlemal küljel. IDOM-i lahendus aga lõikaks tulenevalt laiast kaitsevööndist ära kuivsadama lõunapoolse kinnistu osa kasutuse ning funktsionaalse terminali rajamise võimaluse. 06.10.2022 toimunud jätkukoosolekul palus projekteerija edastada RRK-l täiendavaid arvutusi selgitamaks, kas veetaseme alandamine tunneli piirkonnas võib mõjutada lähedusse jäävaid rajatisi. RRK poolt saadetud hüdroloogilised arvutused ei olnud IDOM-i jaoks piisavad. IDOM saatis 09.11.2022 Tellijale ( RBR-ile ) kirja LET-0311, kus hoiatas DPS3 põhiprojektide esitamise tähtaegade edasilükkumise eest. Lisaks toonitas Konsultant, et VE-l põhineva lahenduse muutmine peataks projekteerimistööd Maardu tunneli piirkonnas piketil KM: 1+500 kuni 2+700. 21.10.2022 toimunud RBR ja RBE koostöö koosolekul arutati võimalust ajutiselt peatada Maardu tunneli projekteerimistööd ning oodata ära RRK poolne lõplik lahendus. Rail Baltic Estonia OÜ (RBE) soov oli tunneli projekteerimisega jätkata ning tehti ettepanek viia teema RBR juhtrühma. Projektijuht tegi 21.11.2022 RBR juhtrühma koosolekul ettepaneku Maardu tunneli (BP03-BR0030) projekteerimistööd ajutiselt peatada kuniks RRK-ga saavutatakse kokkulepe või kui selgub, et Maardu tunneli projekti on võimalik IDOM-i töömahust eemaldada. Kuna RBE toetas RRK poolt pakutud lahendust, siis oli vajalik saada RBE poolt ametlik kinnitus, et VE-l põhinev projektlahendus võetakse RBE poolt üle olukorras, kus IDOM-i lepingu mahtu antud rajatise osas vähendatakse. RBR juhtkond lükkas Maardu tunneli projekteerimistööde ajutise peatamise ettepaneku tagasi ning RBR jäi ootama RBE poolset ametlikku kirja edasiste suuniste osas. RBE edastas 23.12.2022 kirja, kus nendib, et projekteerimistööd on pikalt viibinud ning projekteerija tegevused ei toeta RBE ja Majandus- ja Kommunikatsiooniministeeriumi eesmärke, mistõttu teeb RBE ettepaneku eemaldada Maardu tunnel projekteerija töömahust. 2023. aasta jaanuarist kuni märtsini toimusid arutelud RBR, RBE ja IDOM-i vahel, kuidas Maardu tunneli osas edasi liikuda, et DPS3 projektlõigu projekteerimise ajakava ja Soodevahe-Muuga projektlõigu Keskkonnamõjude hindamise (KMH3) protsess oleks võimalikult vähe häiritud. 09.03.2023 SKPK, IDOM ja RBR osalusel peetud koosolekul jõuti kokkuleppele, et IDOM projekteerib tunneli lõpuni vastavalt VE lahendusele (RRK ettepanekut ei arvestata) ning seega saab KMH3 aruande kogu lõigus nõuetele vastavaks tunnistatud. Hiljem oleks võimalik muuta Maardu tunneli lahendust, kus muudatuse huvitatud osapool oleks juba RRK ise ning koos uue lahendusega koostatakse RRK poolt ka muudetud ala osas uus KMH. RBE lubas vastavasisulise kirja, millega loobub Maardu tunneli projekteerimistööde peatamisest, saata ka RBR-i, kuid seda ei laekunud. Eelpool mainitud sündmused mõjutasid projekteerimise ajakava ja seeläbi ka Soodevahe-Muuga lõigu KMH-ks vajaliku sisendi loomist, kuna IDOM ei omanud teadmist, millise lahendusega Maardu tunneli piirkonnas edasi liigutakse. Tellija poolne viivitus oli sept 2022 – märts 2023. Kuna ei olnud lõpliku lahendus e kokkulepet tellija poolt , siis ei saanud töövõtja sisendit seitsmesse põhiprojekti ning KMH3 osas ei olnud võimalik lahenduse puuduse tõttu keskkonna mõjusid hinnata. Tellija antud juhise kohaselt pidi töövõtja muutma VE projektlahendust vastavalt kolmanda osapoole (RRK) kontseptsioonile, mis ei sisaldunud esialgses tööde mahus. Lepingu eritingimuste punkt 5.1.2 e) annab aluse teha muudatust, kui on tekkinud mõju lepingu täitmise ajale, kuid eelduseks on, et peab olema toimunud muutus Lisa /Appendix 3 Client’s Programme -is. Seoses nimetatud lisatööga muuta vastavalt alltoodud lepingu lisasid: Appendix 3: Programme Appendix 4: Remuneration and Payment. Tellijal on Design Guidelines (DG) järgi kohustus ette anda Konsultandile süsteemialade (süsteemialal paiknevad Telekomi seadmed, raadiomastid, veojõu alajaamad) asukohad. 02.04.2020 saatis Tellija (RBR) Konsultandile süsteemialade asukohad DPS1 ja DPS2 kohta ning teavitas, et juurdepääsuteede projekteerimisega nendes prioriteetlõikudes võib alustada. DPS3 lõigu osas vastavat suunist projekteerijale ei antud. 21.11.2022 küsis IDOM RBR-ilt DPS3 lõigu süsteemialade asukohtasid, et alustada seal hooldus- ja juurdepääsuteede projekteerimisega. RBR küsis 22.12.2022 Systems and Operations (S&amp;O) meeskonnalt selle osas sisendit kuid DPS3 lõigu süsteemialade esialgne loend koos asukohtadega edastati IDOM-ile alles 20.02.2023. IDOM esitas esialgse süsteemialade koondplaani vastavalt S&amp;O meeskonna poolt saadud sisendile. Pärast RBR ekspertide poolse ülevaatuse teostamist toimus 03.04.2023 koosolek projekteerija ja tellija ekspertide vahel, kus saavutati süsteemialade paiknemise osas lõplik kokkulepe. IDOM-i töö DPS3 lõigu põhiprojektidega oli tugevalt mõjutatud asjaolust, et RBR-i S&amp;O meeskond ei edastanud õigeaegselt vajalikku infot süsteemialade asukohtadest ning seetõttu ei olnud projekteerijal võimalik antud lõigus hooldus- ja juurdepääsuteede projekteerimisega alustada, mis lükkas edasi ka teisi projektiga seonduvaid tegevusi. Töövõtja sai RBR-ilt viimase sisendi DPS3 lõigu süsteemialade osas 03.04.2023 , mille kohaselt paluti töövõtjal teostada täiendavaid projekteerimistöid, mis ei sisaldunud esialgses lepingu mahus . DPS3 süsteemialade asukohad Soodevahe-Muuga põhitrassi lõigul tuli välja selgitada, et töövõtja saaks selle järgi projekteerida DPS3 lõigu hooldus- ja juurdepääsu teed. DPS3 süsteemialade sisendi hilinenud üleandmine põhjustas vajaduse teostada lisatöid, kuivõrd süsteemialad oli vaja ümber projekteerida ja kokku viia Soodevahe-Muuga põhitrassi lõigu terviku lahendusega. Eelnevast tingituna seisid alates 17.11.2022 kuni 03.04.2023 projekteerimistööd järgnevate DPS3 ehitusobjektide osas: Altmetsa tee riste (OR0230); Kroodi oja 1520 mm raudteesild (BR0020); Kroodi oja 1435 mm raudteesild (BR0022); Maardu tunnel (BR0030); T1 Tallinn-Narva raudtee viadukt (BR0040); Nehatu tee (OR0240); Pirita jõe raudteesild (BR0050); Varivere tee riste (OR0260); põhitrassi rööbastee (RW0200); alaline 1520 mm ümbersuunamine Maardus (RW0250); ajutine 1520 mm ümbersuunamine Maardus (RW0280); alaline 1520 mm ümbersuunamine Soodevahes (RW0300); ajutine 1520 mm ümbersuunamine Soodevahes (RW0380); Linnaaru tee riste (OR0256). Lepingu eritingimuste punkt 5.1.2 e) annab aluse teha muudatust, kui on tekkinud mõju lepingu täitmise ajale, kuid eelduseks on, et peab olema toimunud muutus Lisa 3 /Appendix 3 Client’s Programme -is. Seoses nimetatud lisatööga muuta vastavalt alltoodud lepingu lisasid: Appendix 3: Programme Appendix 4: Remuneration and Payment. Töövõtja esitas 25 .03.2023 Tellijale läbivaatuseks DPS1 põhitrassi raudteepaki RW0400 ning 1520 rajatiste ümbersuunamise paki OU0400 viimase , neljanda projektversiooni. 10.04.2023 teavitas tellija töövõtjat , et kolmanda projektversiooni ajal jäid Tellija poolt üleandmata välise ekspertiisi teostajalt saadud ekspertiisiraportid õigeaegselt projekteerijale edastamata ning RBR palus raportites olevatele märkustele vastata ja projekti täiendavalt korrigeerida. Tegemist on Tellija poolse hilinemisega, kus projekti versioon kolme ekspertiisi raporti märkused saadeti töövõtjale alles pärast versioon nelja laekumist, mis aeglustas RW0400 ja OU0400 põhiprojektide vastuvõtmist ning põhjustas täiendavad lisatööd . Lepingu eritingimuste punkt 5.1.2 e) annab aluse teha muudatust, kui on tekkinud mõju lepingu täitmise ajale, kuid eelduseks on, et peab olema toimunud muutus Lisa 3 / Appendix 3 Client’s Programme -is. Seoses nimetatud lisatööga muuta vastavalt alltoodud lepingu lisasid: Appendix 3: Programme Appendix 4: Remuneration and Payment. 01.10.2024 toimunud Juhatuse koosoleku otsusega võttis RBE vastu EE DS2 DPS3 BP14 1520 mm rööbastee ajutise ümbersuunamise põhiprojekti (MD – Master Design ) Soodevahes (RW0380) tingimusel, et tehnilised tiimid kiidavad projekti heaks juhindudes Eesti Raudtee (edaspidi EVR) poolt 29.03.2022 väljastatud tehnilistest tingimustest. Juhatuse koosolekul lepiti kokku jätkutegevusena DPS3-RW0380 tööprojekti (DTD – Detailed Technical Design ) osa IDOM-i töömahust välja arvamises ( Omission of Services ) ning selle kohase lepingu muudatuse koostamises. Kuna IDOM-i poolt projekteeritud DPS3-RW0380 projektlahendust ei realiseerita Soodevahe tunneli ehitustegevuse käigus, siis kaob IDOM-il kohustus taotleda antud ehitusobjektile ehitusluba. Arvata välja IDOM-i lepinguliste kohustuste hulgast Soodevahe tunneli ehitusloa hankimine ( maksumusega - 27 868,04 € ( ei sisalda KM ) ). Seoses nimetatud lisatööga muuta vastavalt alltoodud lepingu lisasid: Appendix 3: Programme Appendix 4: Remuneration and Payment. Technical Specification chapter 2.8. Mõju hankelepingu maksumusele : 2 137,5 0 eurot ilma käibemaksuta ; 4 027,58 eurot ilma käibemaksuta ; 7 775,12 eurot ilma käibemaksuta ; 16 984,52 eurot ilma käibemaksuta ; 11 101,34 eurot ilma käibemaksuta ; 11 669,29 eurot ilma käibemaksuta ; 2 542,26 eurot ilma käibemaksuta ; väheneb 27 868,04 euro võrra ilma käibemaksuta . Mõju hankelepingu täitmise tähtajale: Lisandub 2 kuud DPS3 BP-01 Altmetsa Road (OR230) põhiprojekti tähtajale , kuna nimetatud lisatöö mõjutab kogu etapi valmimist . Lisandub 6 nädalat DPS2 BP14-RW0600 ja BP18-OR0545 põhiprojekti tähtaegadele. Lisandub 8 nädalat DPS1 BP12-RW0500 põhiprojekti tähtajale. Lisandub 2 nädalat DPS1 BP13-RW0400 põhiprojekti tähtajale U-kraavide Design Guidelines (DG) erisuse (Derogation) ajakohastamiseks uuema standardi versiooniga. Lisandub 5 nädalat DPS1 BP13-RW0400, RW0500, OS050, RW0600, RW0700 põhiprojektide tähtaegadele, seoses drenaažisüsteemi kontrollimise ning aruande valmistamise eest. Lisandub 26 nädalat järgnevatele DPS3 põhiprojekti tähtaegadele: BP01-OR0230, BP02-BR0020, BP11-BR0022, BP03-BR0030, BP09-RW0200, BP10-RW0250 ja BP12-RW0280. Lisandub 20 nädalat järgnevatele DPS3 põhiprojekti tähtaegadele: BP01-OR0230, BP02-BR0020, BP11-BR0022, BP03-BR0030, BP04-BR0040, BP05-OR0240, BP06-BR0050, BP07-OR0260, BP09-RW0200, BP10-RW0250, BP12-RW0280, BP13-RW0300, BP14-RW0380 ja BP15-OR0256. Lisandub 18 nädalat DPS1 BP13-RW0400 ja BP14-OU0400 põhiprojekti tähtajale. Mõju hankelepingu tähtajale puudub. Muudatuse alus vastavalt RHS -le ja põhjendus : Käesolev muudatustöö sõlmitakse RHS § 123 lg 1 p 1 alusel. Käesoleva muudatustöö rahaline väärtus on 28 369,31 eurot , millele lisandub seadusest tulenev käibemaks , muudatuse väärtus on 84 105,39 eurot. RHS § 123 lõige 1 punkt 1 alusel on eelnevalt tehtud hankelepingu muudatusi kokku 31 500 € väärtuses (Lepingu muudatus nr 2 vastavalt Läti Vabariigi riigihangete seadusele ) . DPS1-RW0500 põhiprojekti raames teostatakse täiendavad geoloogilised uuringud uue rajatise (BR0880) tarbeks, projekteeritakse täiendav (BR0880) rajatise konstruktsioon, seoses täiendava rajatisega uuendatakse keskkonnamõjude hindamise aruannet ning maade omandamise ja muu projektiga seonduva materjali. Muudatustöö on kirjeldatud Konsultandi (IDOM) kirjas RBR-EE-DS2-LET-0473-PRM-20240725_EN Muudatustöö maksumus 66 280,44 eurot ilma käibemaksuta . Muudatuse põhjendus: Konsultandi poolt koostatud e elprojekti s oli Järveküla-Jüri riigimaantee viadukt i ( põhiprojektis on rajatise kood BR-0290, eelprojektis BR-16 ) külge ettenähtud Elveso AS ümberehitatavate vee- ja kanalisatsioonitorude kinnitamine. 04.10.2019 Transpordiamet väljastas ki rjaga nr 15-1/19-0624/40938-2 tehnilised tingimused eelprojektile kõrvalmaantee 11330 Järveküla - Jüri km 7,0 - 7,5 Põrguvälja (Rail Baltic) viadukti põhiprojekti koostamiseks. Tehnilistes tingimustes on kirjas: Kui on võimalik ja otstarbekas, siis viia ristuvad tehnovõrgud viaduktile ning viadukti konstruktsioonidesse projekteerida peidetud kaitsetorustik koos reservtorudega. 2020. aasta oktoobris selgus, et Transpordiamet (TRAM) ei kiida Konsultandi poolt projekteeritud lahendust heaks, kuna Maanteede projekteerimisnormides (2015 versioon) oli kirjas järgnev: “Sillale, viaduktile ja estakaadile on keelatud paigaldada naftatrasse, survekanalisatsiooni ja gaasitorustikku survega üle 16 baari ning elektri kõrgepingejuhtmeid (kaableid) pingega üle 1000 V.” 14.12.2020 Tellijalt (RB Rail/Sten Berezin) e-kirja teel saadud juhise kohaselt töötas IDOM välja alternatiivse lahenduse, mille kohaselt suunati vee- ja survekanalisatsiooni torustikud pikema marsruudi kaudu üle Rae rohesilla (BR0685). Lahenduse oleksid esialgse info kohaselt heaks kiitnud nii Elveso kui ka TRAM. 2021. aasta aprillis esitas IDOM kirjaga LET-0099 RB Railile (RBR) lisatöö VO-05 eelmainitud lahendusalternatiivi väljatöötamise eest, mis on Konsultandile tasutud. 08.03.2021 RB R juhtkonna koosolekul ei kiitnud Rail Baltic Estonia OÜ (RBE) eelmainitu d lahendust (torustikud Rae rohesilla kaudu) heaks, kuna leidis, et lahendus oleks CAPEX-ile liiga suurt mõju avaldanud ning tegi RBR-le ettepaneku uurida taaskord TRAM-i seisukohta seoses võimalusega paigu tada torud maanteeviadukti le . RBR juhtkonna koosoleku tulemusena otsustati katkestada projekteerimistööd seoses VO-05 raames tellitud alternatiiviga, mille kohaselt suunatakse torustik üle Rae ökodukti. 17.05.2021 toimunud RBR juhtkonna koosolekul otsustati 14.12.2020 IDOM-ile saadetud korraldus tühistada VO- 0 5 raames väljatöötatud alternatiividega edasiminek , jätkata Järveküla-Jüri maanteeviadukti (BR0290) projekteerimistöödega, võtmata seejuures arvesse torude paigutamist viaduktile , ning töötada välja uus alternatiiv , mille kohaselt rajatakse eraldi betoonist rajatis (BR0880) lahendamaks Elveso toru stike ristumise RB raudteeliiniga. Peamiseks põhjuseks oli d asjaolu d , et silla külge kinnitamisel võtaks täpse lahenduse väljatöötamine ning kõigi osapooltega kokku leppimine kaua aega ning kuna Järveküla-Jüri viadukt oli nö. „ Kiire Ajakava Objekt “ , oleks viadukti rajamine lükkunud oluliselt edasi. 2 4.05.2021 toimunud RBR juhtkonna koosolekul kinnitati ametlikult eelnevalt mainitud lahendusega (eraldiseisev rajatis torustikele) jätkamine. Vastavasisuline korraldus esitati IDOM-ile 20.07.2021 vastavalt lepingus ettenähtud korrale . Mõju hankelepingu maksumusele : 66 280,44 € (ei sisalda KM ) Mõju hankelepingu täitmise tähtajale: Lisandub 6 nädalat DPS 1 BP1 2 -RW0 5 0 0 põhiprojekti täht ajale . Muudatuse alus vastavalt RHS -le ja põhjendus : Riigihangete seaduse § 123 lg 1 p 3 kohaselt on hankijal õigus sõlmitud hankelepingut muuta uut riigihanget korraldamata, kui samalt pakkujalt ostetakse täiendavaid teenuseid, mille järele on hankijal tekkinud vajadus ja mida riigihanke alusdokumendid ei sisaldanud, juhul kui pakkuja vahetamine põhjustaks hankijale olulist ebamugavust või märkimisväärseid lisakulusid ega oleks majanduslikel või tehnilistel põhjustel võimalik tulenevalt teenuste asendatavuse või koostoimimise vajadusest, kusjuures ühegi muudatuse väärtus ei ületa 50 protsenti hankelepingu algsest maksumusest. Käesoleva muudatuse puhul on nimetatud eeldused täidetud. Käesoleval juhul oleks pakkuja vahetamine põhjustanud hankijale olulist lisakulu, kuivõrd Töövõtja o li täiendava töö teostamiseks töödelnud vajalikke alusandmeid, suhelnud antud teemal lisaks Tellijale ka Transpordiameti ja Elveso AS-ga ning oma s seega taustinformatsiooni, mis võimalda s tal töid teostada kiiremini ja seetõttu soodsamalt kui võimalikul uuel töövõtjal, kes oleks pidanud kogu alusinfo ja lähteandmed uuesti läbi töötama. Arvestades, et käesoleva muudatuse alusel teostatavate projekteeristööde maht on väike, ei oleks projekteerimistööde ja eeltööde omavaheline maht proportsionaalne. See võib tähendada, et pakkuja vahetamine võib tähendada, et lisatööde projekteerimine uue pakkuja poolt võib hankijale põhjustada olulisi täiendavaid aja- ja rahalisi kulusid. Vastutuse paratamatu ebaselgus (uuringute teostamine jm eeltööde teostamine töövõtja poolt) tähendaks ettevõtjale paratamatult täiendavaid riske. Mõistlik ettevõtja kalkuleeriks need riskid enda pakkumusse sisse, mis omakorda põhjusab lisakulu silla projekteerimisel võrreldes olukorraga, kus rajatise projekteerimist teosab algne töövõtja. Projekti koostamisel lisandunud tööd on vajalikud terviklahenduse tagamiseks ning seotud Töövõtja poolt koostatava põhi projektiga nii asendiplaaniliselt kui ka kõrguslikult. Ebamugavus seisneb asjaolus, et hankija peab tagama kahe lepingu täitja vahelise koostöö sujumise, andma lisatööde teostajale üle esialgse töövõtja poolt teostatud eeltööd ning pärast lisatööde teostamist andma tööjärje jällegi tagasi esialgsele hankelepingu täitjale. Hankelepingu täitja vahetamine põhjustaks hankijale olulist ebamugavust, kuna pärast lisatööde teostamist teise töövõtja poolt peaks esialgne hankelepingu täitja oma kohustusi edasi täitma. Ebamugavus seisneb käesoleval juhul asjaolus, et hankija peab tagama kahe lepingu täitja vahelise koostöö sujumise, andma lisatööde teostajale üle esialgse töövõtja poolt teostatud eeltööd ning pärast lisatööde teostamist andma tööjärje jällegi tagasi esialgsele hankelepingu täitjale. Erinevate omavahel seotud töölõikude killustamine hajutab ning hägustab vastutust, toob tõenäoliselt kaasa ebaefektiivsust, täiendavaid kulusid ning ohustab projekti lõpptulemuse saavutamist. Uue töövõtja lisamine teeb projekti lõppastmes kulukamaks, kuna paratamatu on, et palgata tuleb täiendavat inimressurssi ning juurde tuleb lisatööd seoses erinevate omavahel seotud töölõikude koordineerimisega. Muudatuse alusel teostatava töö teostamine teise töövõtja poolt tekitaks segadust erinevate ülesannete ja vastutuse piiritlemisel ning ohustab projekti kvaliteeti. Muudatuse alusel projekteeritava rajatise lahendus tuleb tervikuna siduda selliselt , mis taga ks tervik liku ja vastuoludeta põhiprojektilahenduse . Samuti ei oleks pakkuja vahetamine põhjendatud tehnilistel põhjustel, kuivõrd vead ühe projekteerija töös põhjustaksid vigu ka teise projekteerija töös, kuna muudatuse alusel teostatavate tööde aluseks on lepingu alusel Töövõtja poolt teostatud projekteerimistööd – rajatis ületab töövõtja poolt projekteeritavadt raudteed. Käesoleva muudatuse alusel projekteeritava rajatise tehniline lahendus on mõjuta tud töövõtja poolt projekteerit ud raudtee plaanilis est ja kõrguslikku st lahendus es t, mida projekteerib Töövõtja vastavalt Lepingule. Projekteeritavale rajatisele vajalikud hooldusteed tuleb kokkuviia töövõtja poolt proketeeritava lahendusega. Rajatis asub projektala sees, mitte äärealal, kus seda oleks lihtne eristada ülejäänud projekteeritavast alast. Töövõtja on Lepingu täitmisel läbi viinud uuringud kogu projektala osas. Lahendus, mille puhul keset projektala ühe rajatise projekteerib teine projekteerija, ei ole praktikas tavapärane. Eelpool kirjeldatud olukorras oleks ühe töövõtja poolt teostatud tööde näol tegemist kolmanda isiku eeltööga VÕS § 641 lg 3 mõttes, mistõttu oleks raskendatud ka töös (projektis) ilmnevate vigade korral õiguskaitsevahendite rakendamine, kuivõrd uus pakkuja ei vastutaks teise töövõtja poolt eeltöödes tehtud vigade eest. Muudatuse korral jääb kogu risk ühe töövõtja kanda ehk kui ühe töö osa teostamine mõjutab teise töö osa teostamist, siis need teostab üks töövõtja ja tellija jaoks ei kaasne sellega seoses täiendavaid riske; kui tööd teostaksid kaks töövõtjat, oleks teisel töövõtjal õigus nõuda täiendavat aega ja kulude hüvitamist temast mitteolenevatel põhjustel (teise töövõtja tegevuse tõttu) tekkinud muudatuste tegemiseks. Sellises olukorras oleks ühe töövõtja poolt teostatud tööde näol tegemist kolmanda isiku eeltööga VÕS § 641 lg 3 mõttes, mistõttu oleks raskendatud ka töös (projektis) ilmnevate vigade korral õiguskaitsevahendite rakendamine, kuivõrd uus pakkuja ei vastutaks teise töövõtja poolt eeltöödes tehtud vigade eest. Muudatuse korral jääb kogu risk ühe töövõtja kanda ehk kui ühe töö osa teostamine mõjutab teise töö osa teostamist, siis need teostab üks töövõtja ja tellija jaoks ei kaasne sellega seoses täiendavaid riske; kui tööd teostaksid kaks töövõtjat, oleks teisel töövõtjal õigus nõuda täiendavat aega ega tasu endast mitteolenevatel põhjustel (teise töövõtja tegevuse tõttu) tekkinud muudatuste tegemiseks. Pakkuja vahetamine ei oleks majanduslikult mõttekas ka põhjusel, et töövõtja vahetumise korral oleks võimatu või äärmiselt keeruline lepingu täitjate poolt garantiikohustuste täitmine. Muudatuse alusel teostatav töö ei ole esialgsest projektist teatud osades lahutatav, seega võib esineda olukordi, kus hiljem ei ole võimalik kindlaks teha, millise töövõtja rikkumine on puuduse tekitanud ja garantiikohustuse täitmise nõudmisel tekiksid tõenäoliselt vaidlused. RHS § 123 lg 1 p 3 direktiiviga kooskõlalise tõlgendamise põhimõttele vastab lähenemine, kus hanget ei pea korraldama olukorras, kus hangitakse asju ja teenuseid, mis peavad sobituma tervikusse ning eraldiseisva hankemenetluse korraldamine oleks ilmselgelt majanduslikult ebamõistlik. Nõutav ei ole, et üksnes hankemenetluse osaline suudaks selliseid teenuseid pakkuda. On piisav, kui teenuse olemusest tulenevalt oleks teisel teenusepakkujal oluliselt raskendatud pakkuda hangitavat teenust sama kvaliteediga ning sarnase maksumusega. Käesoleva muudatustöö väärtus on 66 280,44 €, millele lisandub seadusest tulenev käibemaks. Sõlmitud hankelepingu esialgne maksumus o n 11 363 907,96 €. Käesoleva muuatuse väärtus on 0,58% sõlmitud hankelepingu esialgsest maksumusest. Eelnevalt tehtud hankelepingu muudatusi kokku 31 500 € (vastavalt Läti Vabariigi riigihangete seadusele) ning RBE hankelepingu muutmise otsuse nr 1 tulemusel 28 369,31 €. Päerast käesoleva muudatuse sõlmimist on hankelepingu uus maksumus 11 363 907,96 + 31 500 + 28 369,31+66 280,44 = 11 490 057,71 eurot, millele lisandub seadusest tulenev käibemaks.
