This Offer is valid until 31.03.2025 (the “Start Date”). Please return a copy of this Offer signed by an authorized representative of the Client to IBM no later than on the Start Date. Receipt of such signed copy of this Offer confirms your purchase of subscription license of products listed in Attachment A (the “Eligible Products”). Otherwise, this Offer is without effect. 1. Terms and conditions applicable to the Eligible Products The Offer and use of the Eligible Products are subject to the following terms and conditions that the Client has received from IBM on March 26th, 2025, which are incorporated hereby be reference: • International Passport Advantage Agreement v.12 (Z125-5831-12_08-2024) • IBM Program License Agreement (I25-3301-15_10-2021) supplemented by: a. webMethods API Management License Information (L-QALM-668THK_en-2) b. IBM webMethods Integration 11.1 License Information (L-KMZT-F6T3W8_en) 2. Charges Client shall pay IBM for all Eligible Products provided under this Agreement. Imre Kollo. IBM shall issue the first invoice on 31.03.2025 and the following invoices by 30.03.2026 and 30.03.2027. Amounts are due upon receipt of the invoice and payable within 30 days of the invoice issuance to an account specified by IBM and late payment fees may apply. The Charges and any additional charges beyond the Charges incurred pursuant to the section of International Passport Advantage Agreement entitled “Verification” are exclusive of any applicable duties, fees and taxes. Client is responsible for any such duties, fees and taxes including, but not limited to, withholding taxes and, if as a result of Client moving, accessing or using any of the Offer across a border, any customs duty, tax, levy or fee (including withholding taxes for the import or export of any such Offer). The Charges are not cancelable. 3. Additional Terms Deployment Data Regarding Client’s obligation pursuant to section 4.1 (License Verification) point a) of International Passport Advantage Agreement, for as long as IBM has access to Client’s automatic Integration transactions the Client is not expected to maintain Deployment Data (as defined in International Passport Advantage Agreement) of IBM webMethods Integration. If IBM’s access to the Client’s automatic Integration transactions ceases, the parties, at IBM’s request, will agree how to document the use of IBM webMethods Integration. The same shall be applicable to IBM webMethods API Management upon establishment of IBM’s access to Client’s API transactions. This Offer is exclusive of any applicable duties, fees and taxes. Client is responsible for any such duties, fees and taxes including, but not limited to, withholding taxes and those associated with the cross-border deployment of any IBM Eligible Products acquired under this Offer. Acquisitions made under this Offer may not be sublicensed, resold, rented, leased, or transferred to third parties. Client may not transfer or assign this Offer without the written consent of IBM. This Offer shall be binding upon and inure to the benefit of the parties and their respective successors and assignees. The Client agrees not to disclose the terms of this Offer to any third party or public (including any agent, advisor, or consultant) unless required by law.
