VOLIKIRI 25.09.2026 nr 1-17/42 Tallinna Tehnikaülikool (registrikood 74000323, aadress Ehitajate tee 5, 19086 Tallinn; edaspidi ülikool), keda esindab ettevõtlusprorektor Erik Puura rektori 22.12.2016 käskkirjaga nr 186 „Vastutusala juhtidele ja akadeemiliste struktuuriüksuste juhtidele ülikooli esindamiseks volituste andmine“ antud volituse alusel, sealhulgas nimetatud käskkirja punkti 3.1 kohase edasivolitamise õigusega, volitab käesolevaga Tartu Ülikooli ettevõtluskoostöö koordinaatorit Mari-Anne Suurperet (isikukood 48802286517) esindama ülikooli järgmises ulatuses: Volitatud isikul on õigus ülikooli nimel ja arvel allkirjastada Tallinna Tehnikaülikooli (AI & Robotics Estonia ehk AIRE kaudu) ja FactoryXChange 2.0 Irelandi (mida esindab Irish Manufacturing Research, IMR) vaheline „Memorandum of Understanding — Cross-Border EDIH Collaboration, Knowledge Transfer and Platform Cooperation“ ning selle lahutamatu lisa „Annex A — Commercial Terms for Platform Access and Revenue Generation“. Volitus kehtib käesoleva volikirjaga koos esitatud MoU redaktsiooni (versioon 0.1, dokumendi kuupäev 19.08.2026) suhtes, sealhulgas nimetatud lisa A eraldi allkirjastamiseks. Volitatud isik võib teha allkirjastamiseks vajalikke tehnilisi toiminguid ning nõustuda üksnes vormiliste parandustega, mis ei muuda ülikooli õigusi ega kohustusi. Sisuliste muudatuste tegemine MoU-s või lisas A, muude lepingute või lisade sõlmimine ning ülikooli nimel täiendavate kohustuste võtmine nõuab ülikooli eraldi kirjalikku volitust. Volikiri jõustub allkirjastamisel ja kehtib kuni punktis 1 nimetatud MoU ja lisa A allkirjastamiseni või volikirja varasema tagasivõtmiseni. Volitatud isikul ei ole edasivolitamise õigust. Volikiri on koostatud eesti ja inglise keeles. Tõlgendamise lahknevuse korral lähtutakse eestikeelsest tekstist.  2 POWER OF ATTORNEY Tallinn University of Technology (registry code 74000323, address Ehitajate tee 5, 19086 Tallinn, Estonia; the University), represented by Erik Puura, Vice-Rector for Entrepreneurship, acting under the authority granted by the Rector’s directive No. 186 of 22 December 2016, “Granting authority to the heads of areas of responsibility and heads of academic structural units to represent the University”, including the right to delegate authority under clause 3.1 of that directive, hereby authorises Mari-Anne Suurpere (Estonian personal identification code 48802286517), Entrepreneurship Cooperation Coordinator at the University of Tartu, to represent the University as follows: The authorised representative may sign, for and on behalf of the University, the “Memorandum of Understanding — Cross-Border EDIH Collaboration, Knowledge Transfer and Platform Cooperation” between Tallinn University of Technology (via AI & Robotics Estonia, AIRE) and FactoryXChange 2.0 Ireland (represented by Irish Manufacturing Research, IMR), together with its integral “Annex A — Commercial Terms for Platform Access and Revenue Generation”. This authority applies to the version of the MOU presented together with this power of attorney (version 0.1, document dated 19 August 2026), including the separate signature of Annex A. The authorised representative may carry out the technical steps required for signature and accept only formal corrections that do not alter the University’s rights or obligations. Any substantive amendment to the MOU or Annex A, execution of any other agreement or annex, or assumption of any additional obligation on behalf of the University requires separate written authorisation from the University. This power of attorney takes effect upon signature and remains valid until the MOU and Annex A described in clause 1 have been signed or until this power of attorney is revoked earlier. The authorised representative may not delegate this authority further. This power of attorney is drawn up in Estonian and English. In the event of a discrepancy in interpretation, the Estonian text prevails.
