Additionally, WHO shall be responsible for installation, maintenance and management of local surveillance system in the office connected to the Control and Command Centre of the Embassy Guard Service, Estonian Police and Border Guard Board. Amendment no. 2 to the Memorandum of Agreement This Arnendment No. 2 to the Memorandum of Agreement is made (hereinafter referred to as the “Amendment”) between: The Ministry of Social Affairs and Health Board on behalf of the Government of Estonia having its registered addresses accordingly at 1 Suur-Ameerika, Tallinn 10122, Estonia and 81, Paidiski road, Tallinn 10617, Estonia (hereinafter referred to as the “Government” or “Lessor”); and The World Health Organization Regional Office for Europe (WHO/EURO) on behalfofthe WHO Country Office in Estonia (hereinafter referred to as the “WHO” or “Lessee”), (each hereinafter referred to as a “Party” and collectively the “Parties”). WHEREAS A. The Parties entered into a Memorandum of Agreement on 17 January 2018 (hereinafter referred to as the “Agreement”), concluded for a term beginning retroactiveiy from 1 September 2017 for the lease of the prernises, together with appropriate parking space, located at 81, Paidiski road, Tallinn 10617, Estonia, modified by Ainendment no.! dated 02 October 2024; B. Under the Agreement, the Government offered to grant WHO, a rent-free lease of the Premises to serve as its office !ocation in Estonia. C. Pursuant to Article X paragraph 2 of the Agreement, the Agreement may be amended or modified by written agreement between the Parties; D. The Parties wish to modify some provisions and Annexes of the Agreement. NOW THEREFORE the Parties hereto agree as follows: 1. New Article X paragraph 3 is inserted and shall read as follows: “3. Heaith Board shall remain a party to this Agreement untii 09 Aprii 2027. Effective 10 April 2027, the Ministry of Social Affairs shail exciusive!y assume and fuifihi ali obligations under this Agreement, including but not limited to financial obligations. The scope, terms, and content ofthese obiigations shall remain unchanged.” 2. Annex 1 of this Amendment shall replace Annex 1 of the Agreernent, which describes the premises, and shall become an integral part of the Agreernent. For the avoidance ofdoubt  the Annex 1 to the Amendrnent no.1 shall be repiaced with Annex 1 attached to this Arnendm ent. 3. Annex II of this Ameridment shaiI replace Annex II of the Agreement, which outlines the responsibilities and costs of WHO, and shaii become an integral part of the Agreement. For the avoidance of doubt the Annex II to the Amendment no. 1 shall be replaced with Annex II attached to this Amendment. 4. Ali other provisions of the Agrecrnent and the Arnendment no. 1 not hereby expressiy amendcd shail remain unchanged and in fuli force and effect.
