PROCUR EMENT CONTRACT NO. 10-1/22-92-1 Tallinn, Data of signature is shown on the time stamp Geological Survey of Estonia , registry code 10140653 , located at F.R. Kreutwzaldi 5, 44314 Rakvere , Estonia , represented by director Sirli Sipp Kulli on the basis of statute (hereinafter referred to as the client ), and University of Latvia, VAT registry code LV90000076669, located at Raina blvd.19., Riga, Latvia, LV-1586, represented by Vice-Rector for Natural Sciences, Technology and Medicine Valdis Segliņš on the basis of the Rules of procedure of the Administration of University of Latvia (hereinafter referred to as the c ontractor) hereinafter referred to as the Party or jointly as the Parties, have entered into this contract (hereinafter referred to as the c ontract) as a result of the public procurement and hereto agree as follows: OBJECT OF CONTRACT The object of the c ontract is the measurement of the isotopic composition ( δ 18 O H2O and δ 2 H H2O , d-excess ) of groundwater , surface water and precipitation (hereinafter Product) in accordance with the public procurement. The con t ract is funded by Geological Survey of Estonia . OBLIGATION OF THE PARTIES The contractor is obliged to: measure both the stable isotopic composition of oxygen (δ 18 O H2O ) and hydrogen (δ 2 H H2O ) from the samples provided by the contracting authority either by isotope ratio mass-spectrometry (IRMS) or by cavity ringdown spectroscopy (CRDS; e.g. Picarro , Los Gatos isotope analysers or similar instruments); guarantee that the measurement precision is better than ±0.15‰ for δ 18 O H2O and better than ±1‰ for δ 2 H H2O ; co-ordinate the necessary sample conservation meth ods to be used with the contracting authority prior to the sample collection (e.g. procedures such freezing of the samples or storing them under the temperature of ~ 4°C prior to their shipping to the laboratory etc); co-ordinate the necessary background information to be provided with the samples (e.g. the electrical conductivity , hydrochemical data ) with the contracting authority; measure the samples and send the results of the measurements to the contracting authority no later than 3 months after the arrival of the samples to the laboratory; ensure that the table of results sent to the contracting authority contains at least the values of δ 18 O H2O (in ‰ V-SMOW), δ 2 H H2O (in ‰ V-SMOW) and d-excess with corresponding measurement errors for each sample; inform the contracting authority of any problems that occur during the measurement of the samples no later than 1 week after their occurrence (e.g. breakdown of the measurement apparatus, damage to the samples during their transport to the laboratory etc); co-ordinate a new timescale for the measurement of the samples with the contracting authority when the breakdown of the measurement apparatus has occurred; preserve all the samples for at least 1 year after their measurement; in agreement with the contracting authority remeasure any sample if the reported results come into conflict with previous measurements from the same sampling points or with the parallel hydrochemical data from the same sampling points. Contractor may assign its rights and obligations arising from the c ontract only with prior written consent of the client. The client is obliged to: fulfil all the obligations arising from the c ontract , aforehand make the payment accor d ance with the article 3.2. Organize and cover the costs of transportation of the shipment of the samples. The party is obliged to: undertake to compensate the other p arty for the damage caused by improper performance of the c ontract. notify each other of the circumstance preventing the performance of an obligation and the effect of this circumstance on the performance as soon as they learn of such an adverse circumstance. CONTRACT VALUE In accordance with the bid ding submitted by the c ontra ctor in the public procurement the total value of the contract is up to 8378 EUR including VAT (referred as the Fee) . In case the rate of VAT changes, the p arties agree to maintain original total value and quantity of the contract (quantity 5 5 0 ± 10 0 samples) . The Fee shall be pa i d based on the respective invoices of the c ontractor no later than 21 days from the date invoice has been received by the client . The c ontractor shall be entitled to issue the invoice s for the services and the client shall pay the invoice s according to the shipment and payment schedule outlined in section 2.1. in the Annex 1 ( the procurement documents ). NOTICES One p arty shall send notices pertaining to the c ontract to the address or e-mail address of the other p arty specified in the c ontract. One p arty shall immediately inform the other p arty of any changes to its contact details. Any claims made by one p arty against the other relating to a breach of the c ontract must be sent by registered mail. TERM AND AMENDMENT OF CONTRACT This Contract shall step into force as from signature by all p arties and shall be valid until March 30 th 202 7 . The c ontract may be amended by written and signed amendment of the c ontract between the p arties. An y and all amendments to the c ontract shall enter force as of the moment of their signing by all p arties or on the term specified by the p arties in writing. FINAL PROVISIONS The c ontract shall be governed by the substantive and procedural legal norms of the Republic of Estonia. The parties shall comply with the obligations and requirements under legislation regulating the marking of the objects financed from the structural support and making the reference to the participation of the European Union. The contractor grants the client the right to reproduce the published research results in any kind of publications, including the right to dissemination via electronic media. The contractor is obligated to maintain the confidential ity for all details concerning the contract and the outcome of it. The contractor may disclose any information only with prior written consent of the client. The contractor grants the fulfillment of the obligation enacted in present article by subcontracting third party. Any disputes arising from the c ontract shall be resolved by negotiations between the p arties or, should these fail, in the court of the location of the client . In the event of any discrepancies between the c ontract and the procurement documents , the procurement documents shall take precedence. CONTRACT DOCUMENTATION This c ontract comprises the main text of the c ontract and the annexes , forming inseparable parts of the c ontract, including annexes entered into after the signing of the c ontract.
