Amendment No. 2 To Enterprise Agreement This Amendment No. 2 (“Amendment”) modifies the Enterprise Agreement (“EA”), by and between Eesti Geoloogiateenistus ("Customer") and Hnit Baltic UAB ("Distributor") and OÜ AlphaGIS ("Sub-Distributor") as set forth below. WHEREAS, the term of the EA expires on December 31, 2021; WHEREAS, the parties wish to renew the EA for 3 years and update certain terms and conditions; NOW THEREFORE, for adequate consideration, the sufficiency of which is hereby acknowledged by the parties, Customer and Distributor agree that this Amendment, when signed by the parties, shall effect the following modifications to the Agreement: 1. The term of the Agreement described in Section 6.1 and Appendix B, EA Fee Schedule of the EA is modified to renew the term of the EA for an additional period of 3 years commencing on January 1, 2022 and expiring on December 31, 2024 (“Renewal Term”). 2. During the Renewal Term, Appendix A, Products and Deployment Schedule, is deleted and replaced in its entirety with the 2022 Appendix A, Products and Deployment Schedule attached to this Amendment No. 2. 3. During the Renewal Term, Appendix B, EA Fee Schedule, is deleted and replaced in its entirety with the 2022 Appendix B, EA Fee Schedule attached to this Amendment No 2. 4. Customer shall pay Distributor the new and additional EA Fee as described in the Appendix B attached to this Amendment No. 1 with the EA Fee Payment for Year 1 due and payable within thirty (30) days of execution of this Amendment, and with the EA Fee Payments for Year 2 and Year 3 due and payable within thirty (30) days of the commencement date of the period for said year, in accordance with the applicable payment terms in the EA for consideration of this Renewal Term. Except as modified by this Amendment, all other terms in the Agreement remain unchanged unless modified by a separately signed written amendment.
