TAOTLUSED:
1. Rahuldada vaidlustus ja tunnistada kehtetuks Riigi Kaitseinvesteeringute Keskuse
peadirektori asetäitja 06.11.2025 käskkiri nr 2-1/25/443 riigihankes „4x4 soomus-
transportööride ostmine Moldova kaitseväele“ (viitenumber 282071) järgmises osas:
(i) p 2 osas, millega tunnistati Roshel Inc. lõplik pakkumus vastavaks;
(ii) p 3, millega tunnistati Roshel Inc. lõplik pakkumus edukaks.
2. Mõista vaidlustaja menetluskulud välja hankijalt vastavalt vaidlustaja menetluskulude
nimekirjale.

I ASJAOLUD
1. 11.07.2024 kuulutas Riigi Kaitseinvesteeringute Keskus („Hankija“) välja konkurentsipõhise
läbirääkimistega hankemenetlusena korraldatava riigihanke „4x4 soomustransportööride ostmine
Moldova kaitseväele“ (viitenumber 282071, „Hange“).
2. Hankes on seatud järgmised pakkumuste hindamise kriteeriumid:
(i) sõidukite maksumus – 60% hindest;
(ii) hoolduse 10 a maksumus – 15%;
(iii) algse toetuspaketi maksumus – 15%
(iv) tarneaeg – 10%.
3. Hankes osalemise taotluse esitasid 11 ettevõtjat, nende seas ARQUUS SAS („Vaidlustaja“)
ja Roshel Inc. („Kolmas isik“).
4. Lõppvooru jõudsid viis ettevõtjat, kellest pakkumuse esitasid kolm: Vaidlustaja, Kolmas isik
ja Oy Sisu Auto Ab („Sisu“).
5. 06.11.2025 andis Hankija välja käskkirja nr 2-1/25/443, millega otsustas mh järgmist:
(i) tunnistada kõik lõplikud pakkumused1 vastavaks (p 2);
(ii) tunnistada edukaks Roshel Inc. pakkumus (p 3).
13.10.2025 dateeritud hankekomisjoni protokollist nr 2-8/25/4794 nähtuvalt on pakkumuste
hindamise tulem järgmine:
6. Vaidlustaja hinnangul on Kolmanda isiku pakkumuse vastavaks ja edukaks tunnistamise
otsused õigusvastased. Seetõttu esitab Vaidlustaja käesolevaga riigihangete vaidlustuskomisjonile
(„VAKO“) vaidlustuse eelnimetatud otsuste kehtetuks tunnistamiseks.
7. Vaidlustaja juhib tähelepanu, et vaidlustus sisaldab p-s 22 ja lisas 4 konfidentsiaalset teavet,
millega Vaidlustaja lubab tutvuda vaid VAKO-l ja Hankijal. Vaidlustaja ei anna luba seda teavet
jagada Kolmanda isiku ega avalikkusega. VAKO-le ja Hankijale on mõeldud vaidlustuse kärpimata
originaalversioon. Kolmandale isikule edastamise tarbeks esitab Vaidlustaja vaidlustuse kärbitud
versiooni.
II ÕIGUSLIKUD PÕHJENDUSED
A. Kolmanda isiku pakkumus ei vasta hanketingimustele
8. Vaidlustaja on seisukohal, et Kolmanda isiku pakkumuse vastavaks tunnistamise otsus on
õigusvastane, kuna see ei vasta kahes aspektis Hankes seatud tingimustele:
(i) pakkumus rikub ristsubsideerimise keeldu;
(ii) pakkumus ei täida teatavaid tehnilisi tingimusi.

Vaidlustaja käsitleb mõlemat episoodi järjekorras allpool. Olgu siin üldisena öeldud, et pakkumuse
mittevastavuse sedastamiseks piisab, kui tuvastamist leiab kasvõi üks kõrvalekalle Hankes seatud
tingimustest. Nagu VAKO ja kohtud on korduvalt selgitanud, on pakkumuse vastavustingimused
kumulatiivsed, st pakkumus peab vastama kõigile vastavustingimustele.2
▪ Kolmanda isiku pakkumus rikub ristsubsideerimise keeldu
9. Hankes on kehtestatud ristsubsideerimise keeld. Hankija on koostanud alusdokumendi
pealkirjaga „Instructions for Tenderers“ (est k „Juhised pakkujatele“), mille p 1.16.14 näeb ette
järgmist:
„Cross-subsidization is not allowed when submitting tenders, both internal (between
individual lines or parts offered in the tender) and external.”
Sätte eestikeelne tõlge on: „Pakkumuste esitamisel ei ole ristsubsideerimine lubatud, nii sisemine
(pakkumuse üksikute ridade ja osade vahel) kui väline.“
10. Niisiis on Hankija kehtestanud pakkujatele järgimiseks kohustusliku kõikehõlmava ristsubsi-
deerimise keelu. Vastavalt VAKO ja kohtute praktikale on ristsubsideerimise keeld riigihanke-
õiguslikus mõttes pakkumuse vastavustingimus.3 Seega saab konkurendi pakkumuse mittevasta-
vust nimetatud keelule vaidlustada läbi selle pakkumuse vastavaks tunnistamise otsuse.4 Kui
peaks ilmnema, et pakkumus rikub ristsubsideerimise keeldu, siis tuleb see RHS § 114 lg 2 alusel
tagasi lükata.5 Seda isegi siis, kui pakkumuse maksumus tervikuna ei ole põhjendamatult madal
RHS § 115 tähenduses.6 Kui hankija on ristsubsideerimise keeldu rikkuva pakkumuse vastavaks
tunnistanud, kuulub see otsus VAKO poolt kehtetuks tunnistamisele.
11. Ristsubsideerimise tähendus. Lepingusisese ristsubsideerimise keeld tähendab, et iga
hinnapakkumuse rida ehk iga pakutav teenus üksikuna peab olema n-ö reaalse hinnaga ja katma
ära vähemalt vastava teenuse pakkumisega seotud kulud pakkuja jaoks (teenuse omahind).
Lepinguvälise ristsubsideerimise keeld tingib, et kogu hinnapakkumus tervikuna ehk kõigi osa-
teenuste maksumus kokku peab olema n-ö reaalne ja katma ära vähemalt lepingu nõuetekohase
täitmisega seotud kulud pakkuja jaoks (lepingu omahind).7 VAKO on selle kokku võtnud järgmiselt8:
„Ristsubsideerimise keeld tähendab, et pakkuja ei tohi teatavat toodet/teenust hinnastada
kunstlikult madalamana (nt alla omahinna), võttes arvesse teiste tema pakutavate toodete/
teenuste kõrgemaid (kasumlikke) hindu. Ristsubsideerimise keelatuse tingimusis peab
pakkuja vaatlema iga tema pakutavat toodet/teenust täiesti eraldi, st kõik asjaomase toote/
teenuse pakkumisest saadavad tulud peavad katma sellise tegevusega kaasnevad kulud
ning pakkuja ei tohi loota muudele tuluallikatele.“
12. Kahtlustatav ristsubsideerimine. Vaidlustajal puudub ligipääs Kolmanda isiku pakkumuse
dokumentidele. Ammugi ei ole Vaidlustajale vabalt kättesaadavad Kolmanda isiku sisedokumendid
(erinevad kalkulatsioonid, teave omahindade kohta jne). Siiski viitavad märgid, et Kolmas isik on
teinud ristsubsideerimise keeldu rikkuva hinnapakkumuse. Nimelt on tema pakutud hinnad, olgu
vaadeldud kogumis või üksikute teenuste kaupa, ebarealistlikult madalad, nõnda et need eeldus-
likult ei võimalda ära katta lepingu ega üksikute osateenuste omahinda. Hankija ei ole seda kas
ära tundnud või sellele asjakohaselt reageerinud. Isegi kui Kolmanda isiku pakkumuse teistest
pakkumustest oluliselt madalam hind on Hankijale sümpaatne, peab Hankija sellegipoolest kinni
pidama enda kehtestatud reeglitest.9
13. Eelöeldut silmas pidades on vaidlustusmenetluses tarvis esmasena kontrollida – ja
Vaidlustaja palub VAKO-l seda teha –, kas Hankija on ristsubsideerimise keelust kinnipidamist

Kolmanda isiku pakkumuse puhul üldse kontrollinud. Kui ei, siis on Hankija jätnud pakkumuse
vastavuse kontrolli osaliselt läbi viimata – kontrollida tuleb kõigi riigihankes kehtestatud
vastavustingimuste täitmist (RHS § 114 lg 1: Hankija kontrollib /---/ pakkumuste vastavust
riigihanke alusdokumentides esitatud tingimustele /---/.) Nagu VAKO on justnimelt ristsubsideeri-
mise keelust kinnipidamise kontrollimise kontekstis öelnud: hankija peab rangelt kinni pidama enda
poolt kindlaks määratud tingimustest.10 Ainuüksi selle vastu eksimine – st mõni vastavustingimus
jäetakse kontrollimata – tingib pakkumuse vastavaks tunnistamise otsuse õigusvastasuse.11
14. Vastavustingimuse, sh ristsubsideerimise keelu kontrollimine ei sõltu mingi lävendi
ületamisest nagu nt alapakkumuse kontrollimenetluse läbiviimine RHS § 115 alusel, kus hankijal
tekib kontrollikohustus siis, kui pakkumuse maksumus näib esmapilgul kahtlaselt madal (vt allpool).
Vastavustingimuste täitmist tuleb kontrollida igal juhul, sõltumata sellest, kas hankijale tundub asi
esmapilgul kahtlane või ei. Hankija ei saa eeldada pakkumuse vastavust. Hankija ei saa pakku-
muse kooskõla ristsubsideerimise keeluga eeldada või järeldada ka pelgast tõsiasjast, et pakkuja
on pakkumust esitades andnud RHS § 110 lg 3 esimest lauset peegeldava geneerilise kinnituse,
et ta võtab üle kõik hankedokumentide tingimused ja pakkumus on vastav.12 Pakkumuse vastavuse
kontroll peab olema sisuline.13
15. Tõendamiskoormus. Nagu ennist öeldud, puudub Vaidlustajal ligipääs Kolmanda isiku
pakkumuse maksumuse kujunemist puudutavale teabele. Sellest lähtuvalt, olgugi et Vaidlustajal
on professionaalse turuosalisena tõsised kahtlused ristsubsideerimise osas, peab Vaidlustaja
vaidlustuse esitama suuresti „pimesi“. Seda silmas pidades on kohane analoogia korras juhinduda
kohtupraktikast nn alapakkumuse vaidlustes, mis näeb ette, et kui asjas oluline teave konkurendi
pakkumuse kohta on kaebaja eest varjatud, peab kohus (VAKO) olema selle võrra aktiivsem, et
seda piirangut kaebaja menetlusõigustele tasakaalustada.14 Ka ei saa hankija ega kolmas isik
jääda niisuguses menetluslikus olukorras lauseitavale positsioonile. Tõendite vaidlustaja eest
salajases hoidmisest tingitud menetlusliku ebavõrdsuse kompenseerimiseks peavad hankija ja
kolmas isik vastavas osas kandma tõendamiskoormust.15
16. Vaidlustaja on p-s 52 esitanud taotluse Hankijalt teabe väljanõudmiseks. Vaidlustaja palub
VAKO-l see taotlus vaidlustust menetlusse võttes (s.o Hankijale vaidlustuse materjale ja nn
vaidlustuse teadet edastades) eraldi lahendada. Vastasel juhul, kui VAKO ei ole Hankijat teabe
esitamiseks selgelt kohustanud, võivad Vaidlustaja menetlusõigused (sh õigus tõhusale õigus-
kaitsele) jääda kaitseta. Vaidlustaja loodab ja kavatseb ristsubsideerimise keeldu rikkuvaid
argumente ja tõendeid pärast Hankija (ja Kolmanda isiku) vastuse saamist täiendada, kui asjaolud
seda võimaldavad ja nõuavad.
17. Asjas olulised arvnäitajad. Kolmas isik on pakkunud järgmisi hindu:
(i) sõidukite maksumus – 44 818 005,81 eurot (vrd Vaidlustajal 68 914 235,46 eurot ja
Sisul 66 748 493,20 eurot)
(ii) hoolduse 10 a maksumus – 981 072 eurot (vrd Vaidlustajal 1 272 534,44 eurot ja
Sisul 1 652 224,70 eurot)
(iii) algse toetuspaketi maksumus – 2 067 846,05 eurot (vrd Vaidlustajal 3 343 334,74
eurot ja Sisul 3 397 854,70 eurot).
18. Mööndes, et ristsubsideerimise keelu kontroll ei saa seisneda võrdluses teiste pakkujate
pakutud hindadega, peab Vaidlustaja praeguses infovaeguses siiski kohaseks märkida, et
Vaidlustaja hinnad on silmatorkavalt madalamad kui konkurentidel. Täpsemad protsentuaalsed
erinevused on esitatud p-s 34, kus on räägitud alapakkumuse kahtlusest – sealses kontekstis on
võrdlus teiste pakkumustega kesksel kohal. Vaidlustajale teadaolevalt ei ole võimalik Hankes ette

nähtud koguseid ette nähtud kvaliteediga kasumlikult või vähemalt omahinda kattes pakkuda
hindadega, mida on pakkunud Kolmas isik. Alla omahinna ja ilmselt ristsubsideeritud ei ole mitte
üksnes Kolmanda isiku pakkumus tervikuna, vaid ka iga üksik hinnatav osamaksumus.
19. KOKKUVÕTE. Vaidlustajal on põhjendatud kahtlus, et Kolmanda isiku pakkumus rikub
Hankes kehtestatud ristsubsideerimise keeldu, seda nii pakkumuse koondmaksumuse kui iga
üksiku hinnatava osamaksumuse lõikes. Vaidlustajale ei ole ka teada, et Hankija oleks Kolmanda
isiku poolt ristsubsideerimise keelust kinnipidamist tegelikult ja sisuliselt kontrollinud. Eeldades
nende väidete paikapidavust, on Kolmanda isiku pakkumuse vastavaks tunnistamine ebaõige.
▪ Kolmanda isiku pakkumus ei ole vastavuses tehniliste nõuetega
20. Hankija on vastavustingimuses nr 8 nõudnud, et pakkuja peab esitama nõuetekohaselt
täidetud faili „Technical Requirements“. Viidatud tehniliste tingimuste all on silmas peetud Exceli
faili „Annex 2 Compliance Matrix“ (Lisa 2). Alusdokumendi „Instructions for Tenderers“ p 1.16.10.6
sätestab selle kohta järgmist:
„After the negotiation phase, when submitting the final offer based on the finalized
Compliance Matrix drawn up by Contracting Authority, all requirements are marked as
Mandatory (M). If the Tenderer indicates that the fulfilment of the requirement is not
possible (answer NC), the Contracting Authority automatically recognizes the tender as
non-compliant and the Tenderer will be excluded. The following Mandatory requirements
are set by the Contracting Authority: [järgneb 9st punktist koosnev loetelu, mida siin ei ole
korratud].“
Kokkuvõtvalt ja eesti keelde tõlgituna on Hankija ette näinud, et lõplike pakkumuste voorus on kõik
tehnilised tingimused märkega „kohustuslik“. Kui pakkuja märgib Lisas 2, et tema pakutav sõiduk
mõnda tingimust ei täida, siis loetakse pakkumus automaatselt mittevastavaks. Hankija poolt
lõplike pakkumuste voorus väljastatud Lisa 2 näeb tegelikult ette oluliselt enam märkega „M“
(kohustuslik) tehnilisi tingimusi kui alusdokumendi „Instructions for Tenderers“ p-s 1.16.10.6
loetletud (u 200 rida Excelis).
21. Vaidlustajale teadaolevalt on Kolmas isik Hankes pakkunud oma Senator nimelist soomus-
transportööri, mis on ehitatud tsiviilotstarbelise Ford F-550 šassii peale. Vaidlustajale teadaoleva
info kohaselt ei täida Senator kõiki Lisas 2 loetletud kohustuslikke tehnilisi tingimusi. Seega, kui
Kolmas isik ei ole just esitanud valeandmeid, peab tema lõpliku pakkumuse osaks olevas Lisas 2
olema mõne tehnilise tingimuse juures märge „NC“ ehk Not Compliant, mis – nagu eespool
selgitatud – tähendab pakkumuse mittevastavust. Vaidlustaja palub VAKO-l seda kontrollida.
Iseäranis palub Vaidlustaja tähelepanu pöörata järgmistele nõuetele:
(i) Lisa 2 nõuded 3.2.1, 3.2.4 ja 4.2.5 (Exceli lahtrid D84, D87 ja D108) – Senator’i
tehniline lahendus ei vasta viidatud punktides kehtestatud turvanõuetele, kuivõrd
Senator’i keskset rehvipumpamissüsteemi (CTIS) tuleb opereerida sõidukist väljas
(seda ei saa teha sõidukis sees viibides) ning see tekitab inimesele otsese kineetilise
ohu. Kõnealused turvanõuded oma kogumis aga nõuavad, et CTIS-i peab olema
võimalik opereerida kaitstud positsioonis (soomustatud sõidukis sees viibides);
(ii) Lisa 2 nõuded 3.2.1, 3.2.4, 1.3.4 ja 1.3.5 (Exceli lahtrid D84, D87, D52 ja D53) –
Senator’i tehniline lahendus ei võimalda sõjalises kontekstis opereerida sõiduki
külgmist diferentsiaalilukku ilma isikut otsesesse ohtu seadmata. Ka siin näevad
kõnealused turvanõuded oma kogumis ette, et külgmist diferentsiaalilukku peab
olema võimalik opereerida kaitstud positsioonis (soomustatud sõidukis sees viibides).
(iii) Lisa 2 nõuded 1.1.11, 4.2.3 ja 4.2.4 (Exceli lahtrid D41, D106 ja D107) – Vaidlustajale
teadaolevalt ei ole Senator’i šassii (F-550) tootja Ford valideerinud ja heaks kiitnud
F-550 kasutamist niisuguse täismassiga nagu ümberehitatud Senator’i puhul, mis
vastaks ka kõigile Hankes seatud tehnilistele tingimustele. Nagu lisast 1 nähtub
(Ford F-Series Super Duty Chassis Cab tehniline brošüür, seal lk 4), on F-550 šassii

puhul ette nähtud erinevad maksimaalsed raskused ja kandevõimed, mida antud
šassii talub ja Ford lubab. Avaliku info järgi kaalub Roshel Senator sõiduk 8 tonni (vt
lisa 2).
22. Vaidlustaja kahtlused Senator sõiduki mittenõuetekohasuse osas rajanevad mh avalikul
teabel selle kohta, et Ukraina kaitsejõud, kes kasutavad samuti neid sõidukeid, on Senator’ide
kvaliteedis väga pettunud ja täheldanud erisugu kvaliteediprobleeme. Ülevaade kriitilisest tagasi-
sidest on esitatud lisas 3. [KONFIDENTSIAALNE OSA KÄRBITUD]
23. Lisaks on Vaidlustajal põhjendatud kahtlus, kas Kolmas isik on koos oma lõpliku pakkusega
esitanud kõik Lisa 2 tulbas F nõutud tehnilised dokumendid ning kas need, mis esitati, näitavad
pakutava sõiduki vastavalt Hanke tingimustele. Vaidlustaja palub VAKO-l seda kontrollida.
Iseäranis palub Vaidlustaja selles osas tähelepanu pöörata Lisa 2 nõuetele 3.2.1 ja 3.2.4 (Exceli
lahtrid F84 ja F87).
24. Vaidlustaja on p-s 52 esitanud taotluse Kolmanda isiku pakkumuse koosseisus esitatud
Lisa 2 ja selles seatud tehnilistele tingimustele vastavuse tõendamiseks esitatud dokumentide
väljaandmiseks. Saanud selle teabe, on Vaidlustajal võimalik tehniliste tingimuste rikkumist
puudutavaid argumente ja tõendeid pärast Hankija (ja Kolmanda isiku) vastuse saamist täiendada,
kui asjaolud seda võimaldavad ja nõuavad.
25. KOKKUVÕTE. Vaidlustajal on põhjendatud kahtlus, et Kolmanda isiku pakkumus rikub
erinevaid Hankes kehtestatud tehnilisi tingimusi ning et Kolmas isik ei ole pakkumuses esitanud
kõiki nõutud tõendusdokumente või on esitanud enda pakutava sõiduki kohta eksitavat teavet.
Eeldades nende väidete paikapidavust, on Kolmanda isiku pakkumuse vastavaks tunnistamine
ebaõige.
B. Kolmanda isiku pakkumust ei tohi edukaks tunnistada
26. Kolmanda isiku pakkumuse edukaks tunnistamise otsust peab Vaidlustaja õigusvastaseks
kolmel alternatiivsel alusel:
(i) Kolmanda isiku pakkumus on mittevastav;
(ii) Kolmanda isiku pakkumus tekitab nn alapakkumuse kahtluse, mida Hankija pidanuks
kontrollima, aga jättis tegemata;
(iii) kui Hankija kontrollis Kolmanda isiku pakkumuse maksumuse põhjendatust, on ta
valesti järeldanud, et maksumus on põhjendatud.
27. Vaidlustaja käsitleb allpool lähemalt eelnimetatud alternatiive (ii) ja (iii). Seoses alternatiiviga
(i), mida tuleb vaadelda järjekorras esimesena, piisab kui lühidalt selgitada järgmist. Kui VAKO
peaks nõustuma, et Kolmanda isiku pakkumus on vastavaks tunnistatud ebaõigesti, siis on auto-
maatselt õigusvastane ka asjaomase pakkumuse edukaks tunnistamine. Nimelt, RHS § 117 lg 1
järgi hindab hankija üksnes vastavaks tunnistatud pakkumusi. Seega võivad hindamisele jõuda
üksnes hanketingimustele vastavad pakkumused ja ka edukaks saab osutuda üksnes pakkumus,
mis on kõikidele nõuetele vastav.
28. Mis puudutab Vaidlustaja väidet, et Kolmanda isiku pakkumuse maksumus on põhjenda-
matult madal (nn alapakkumus), siis vastavalt väljakujunenud VAKO ja kohtupraktikale on
konkurendi pakkumuse kui alapakkumuse tagasi lükkamata jätmine vaidlustatav selle pakkumuse
edukaks tunnistamise otsuse kaudu.16
▪ Hankija on jätnud kahtlustatava alapakkumuse kontrollimata
29. Kui VAKO ei peaks nõustuma, et Kolmanda isiku pakkumuse vastavaks tunnistamise otsus
on ebaseaduslik, tugineb Vaidlustaja Kolmanda isiku pakkumuse edukaks tunnistamise vaidlusta-
misel esmalt järgmisele väiteliinile.

30. Vaidlustajale teadaolevalt ei ole Hankija Kolmanda isiku pakkumuse maksumuse põhjenda-
tuse kontrollimiseks läbi viinud RHS §-s 115 sätestatud kontrollimenetlust. Seda kahtlust tugevdab
tõik, et Hankija ei ole vaidlustatud käskkirjas esitanud põhjendusi Kolmanda isiku pakkumuse
maksumuse põhjendatuse toetuseks. Vastavalt Euroopa Kohtu praktikale on hankija kohustatud
alapakkumuse kontrollimenetluse lõppjäreldust – olgu siis pakkumuse tagasilükkamine või vastu-
võetavaks pidamine – kirjalikult põhjendama.17 Kui see vastab tõele, on hankija rikkunud RHS-i,
kuna Kolmanda isiku pakkumuse maksumus on prima facie sedavõrd madal, et pidanuks Hankijas
tekitama alapakkumuse kahtluse. Vaidlustaja palub VAKO-l alapakkumuse kontrollimenetluse
läbiviimise fakti kontrollida, nõudes selle teabe Hankijalt välja nii, et selle saab ka Vaidlustaja (vt
taotlus p-s 52). Seejärel saab viimane vajadusel oma õiguslikku positsiooni korrigeerida.
31. Keskne küsimus ja tõendamiskoormus. RHS § 115 lg 1 kohaldamisalasse langevas
olukorras, kus hankija ei ole pakkumuse maksumuse põhjendatust kontrollinud, ei seisne vaidluse
sisu ennatlikult mitte selles, kas vaidlusalune maksumus on ka tegelikult põhjendamatult madal,
vaid selles, kas hankijal pidanuks tekkima kahtlus hinna põhjendatuses ja kas hankija pidanuks
seega hinna tõsiseltvõetavust kontrollima.18 Niisuguses vaidluses peab vaidlustaja põhistama
(mitte tõendama) seda, et hankijal pidanuks tekkima kahtlus pakkumuse maksumuse põhjendatuse
osas.19
32. Hankijal pidi tekkima alapakkumuse kahtlus. RHS § 115 lg 1 sätestab, et kui hankija leiab,
et pakkumuse maksumus on hankelepingu eset arvestades põhjendamatult madal, peab hankija
kirjalikku taasesitamist võimaldavas vormis nõudma pakkujalt asjakohast samas vormis esitatud
selgitust. Niisiis ei luba RHS edukaks tunnistada pakkumust, mille maksumuse põhjendatuse
suhtes hankijal on või peab olema kahtlus, kuid millega seoses kontrollimenetlust läbi ei viidud.20
VAKO on selgitanud, et RHS § 115 lg-t 1 tuleb sisustada võimalikult laialt ehk nii, et maksumuse
põhjendamatusele võivad viidata mistahes tegurid, mis osutavad hinna ebamõistlikkusele.21
33. Eelnevast lähtuvalt tuleb järgnevalt hinnata, kas Kolmanda isiku pakkumuse maksumus on
prima facie alapakkumuse kahtlust tekitav.22 Riigikohtu praktika järgi tuleks pakkumuse maksumust
lähemalt uurida siis, kui selle maksumus on „silmatorkavalt madal“.23 Sealjuures on kohtud kinnita-
nud, et teiste pakkumuste maksumus on asjakohane võrdluspunkt.24 VAKO ja kohtute pikaajalises
praktikas on u 20–25% suurune vahe paremuselt järgmise pakkumuse hinnaga või vastavaks
tunnistatud pakkumuste keskmise hinnaga loetud piisavaks, et jaatada hankijal alapakkumuse
kahtluse tekke kohustust.
34. Hankes esitatud pakkumuste maksumused on välja toodud p-des 5 ja 17. Juba esmapilgul
on näha, et Kolmanda isiku pakutud hinnad on oluliselt madalamad kui Vaidlustajal ja Sisul.
Vaidlustaja ei hakka siinkohal analüüsima pakkumuste üksikuid hinnaridu, kuna vastavalt kohtu-
praktikale hinnatakse seda, kas pakkumuse maksumus tekitab või peab tekitama alapakkumuse
kahtluse, lähtuvalt pakkumuse kogumaksumusest.25 Kui liita kõik Hankes esitatud osamaksu-
mused kokku, on pakkumuste maksumused järgmised:
(i) Kolmas isik – 47 866 923,86 eurot;
(ii) Sisu – 71 798 572,60 eurot;
(iii) Vaidlustaja – 73 530 104,64 eurot.
See tähendab, et Kolmanda isiku pakkumuse koondmaksumus on järgmisest pakkumusest (Sisu)
33,33% ehk 1/3 võrra odavam. Kõrvutades Kolmanda isiku pakkumuse koondmaksumust kõigi

pakkumuste keskmise koondmaksumusega (64 398 533,70 eurot), näeme, et Kolmanda isiku
pakutud hind on 25,67% odavam. Need on märkimisväärsed vahed, Kolmanda isiku pakkumuse
maksumus on konkurentide omast suurusjärgu võrra madalam.
35. Eeltoodud erinevused maksumustes, ehkki juba iseseisvalt kõnekad ja kahtlust äratavad,
pidanuks Hankijas tekitama seda enam küsimusi ja kõhklusi, et Kolmas isik on pakkunud konkuren-
tidest kardinaalselt lühemat tarnaega. Nimelt, kui Vaidlustaja on pakkunud tarneajaks 666426 ja
Sisu 7020, siis Kolmas isik kõigest 3020. Paradoks on ilmne: pakutakse väga odavalt, aga ka väga
kiiresti. Loogiline oleks vastupidine olukord, st odava maksumuse vastukaaluks on pikk tarnaeg.
Ka pidanuks Hankijas tekitama küsimusi, et algses pakkumuses pakkus Kolmas isik sõidukite 10
a hoolduse hinnaks 1 026 638 eurot, lõplikuks pakkumuses aga väiksema summa 981 072 eurot.
Samas pakuti algsete pakkumuste voorus hindu 50 sõidukile leebemate tehniliste nõuetega, lõplike
pakkumuste voorus aga 100 sõidukile rangemate tehniliste nõuetega. Seega, hooldamisele kuulub
poole rohkem ja keerukamaid sõidukeid, aga pakutud on madalamat hinda.
36. Ei ole eluliselt usutav, et üks turuosaline suudab – eriti olukorras, kus ristsubsideerimine on
keelatud! – pakkuda oma tooteid nõutava kvaliteedi juures konkurentidest oluliselt odavamalt ja
oluliselt kiiremini. Tegu oleks imelise ärimudeliga, mis peaks juba lühikese ajaga turult välja tõrjuma
kõik konkurendid. Ometi ei ole militaarotstarbeliste soomustransportööride tootmine niisugune
tegevusvaldkond, kus erinevate ettevõtjate hinnapakkumused saavad tohutult erineda (nagu
kinnitab ka Vaidlustaja ja Sisu pakkumuste võrdlus). Pakkujate personalikulud, kasumiootus ja
koostööpartneritelt saadavad tingimused võivad küll mõneti erineda, aga laias plaanis nõuab
soomustransportööride tootmine vastavalt konkreetselt tellijalt saadud juhistele kõigilt turuosalistelt
võrreldavaid investeeringuid.
37. Liiatigi, nagu ülal juba toonitatud, pidi Hankija erilist kaalu omistama sellelegi, et Hankes on
keelatud igasugune ristsubsideerimine. Järelikult ei saa pakkumuse silmatorkavalt madal hind olla
põhjendatud sellega, et pakkuja on nõus tegema antud projekti kahjumlikult, saamaks väärtuslikku
referentsi.
38. KOKKUVÕTE. Kui peaks leidma kinnitust, et Hankija jättis Kolmanda isiku pakkumuse
maksumuse põhjendatuse kontrollimata, on Hankija teinud jämeda kaalutlusvea. Asjaoludest
tulenevalt pidanuks Hankijal objektiivselt tekkima kahtlus Kolmanda isiku pakutud hinna tõsiselt-
võetavuses. Sellises olukorras kontrollimenetluse läbi viimata jätmine muudab Kolmanda isiku
pakkumuse edukaks tunnistamise otsuse õigusvastaseks.
▪ Alternatiivselt on Hankija ebaõigesti pidanud maksumust põhjendatuks
39. Kui peaks ilmnema, et Hankija on kontrollinud Kolmanda isiku pakkumuse maksumuse
põhjendatust, siis tugineb Vaidlustaja Kolmanda isiku pakkumuse edukaks tunnistamise vaidlusta-
misel väitele, et Hankija on kontrollimenetluse tulemusel vääralt järeldanud, et pakutud hind on
põhjendatud. Täiendavalt, Hankija on rikkunud otsuse põhjendamise kohustust.
40. Keskne küsimus ja tõendamiskoormus. RHS § 115 lg 8 kohaldamisalasse langevas
olukorras, kus hankija on pakkumuse maksumuse põhjendatust kontrollinud, seisneb vaidlus
selles, kas hankija otsus lugeda maksumus kontrolli tulemusel põhjendatuks on õiguspärane.
Sellises vaidluses peab vaidlustaja tõendama, et hankija on oma hinnangus eksinud.27 Vaidlustaja
tõendamiskoormus ei ole aga absoluutne – vt ses osas p-s 15 tutvustatud kohtupraktikat VAKO
aktiivse rolli ning hankija ja kolmanda isiku tõendusliku panuse osas.
41. Menetlusökonoomia piiratud teabe tingimusis. Nagu märgitud, ei ole Vaidlustajale
vaidlustuse esitamise ajal tõsikindlalt teada, kas üldse ja kui jah, siis millises mahus ja sisuga
suhtlus Hankija ja Kolmanda isiku vahel RHS § 115 alusel toimunud on. Sellest lähtuvalt ei ole
Vaidlustajal praeguses faasis mõistlik hakata ümber lükkama hüpoteetilise kontrollimenetluse

hüpoteetilist tulemit. Liiatigi ei ole Vaidlustajale praegu teada, kas ja millise sisuga küsimusi on
Hankija Kolmandalt isikult küsinud ning kas ja millise sisuga vastuseid on Kolmas isik Hankijale
andnud (vt ses osas teabetaotlus p-s 52). Vaidlustaja ootab ära Hankija vastuse vaidlustusele, et
selles antud teabe pinnalt vajadusel oma argumente kontrollimenetluse ebaõige lõppjärelduse
kohta täiendada.
42. Üldine õigusraamistik. RHS § 115 lg 8 sätestab, et hankija kontrollib pakkuja antud selgitust
ja hindab esitatud tõendeid, konsulteerides vajaduse korral pakkujaga. Kui hankija leiab endiselt,
et pakkumuse maksumus on põhjendamatult madal, või kui pakkuja ei esita hankijale nõutud
selgitust, lükkab hankija pakkumuse põhjendatud kirjaliku otsusega tagasi. Riigikohtu selgitusel
tuleneb RHS § 115 lg-st 8, et hankija peab põhjendamatult madala maksumusega pakkumuse
tagasi lükkama, st hankijal ei ole selles osas kaalutlusruumi. Küsimus on, kas konkreetset
maksumust tuleb lugeda põhjendamatult madalaks.28 Sealjuures, kui tegu on rahvusvahelist piir-
määra ületava riigihankega nagu praegu, ei tohi VAKO oma kontrolli teostades piirduda vaid
ilmselguse testiga, vaid peab põhjalikult hindama Hankija otsuse ratsionaalsust.29
43. Ristsubsideerimise keelu tähtsus. Ehkki ristsubsideerimise keeld ja alapakkumus on kaks
erinevat instituuti, on nad siiski tihedalt seotud.30 Nimelt olukorras, kus hankija on keelanud
ristsubsideerimise, ei saa ta pakkumuse maksumuse põhjendatust hinnates arvestada võima-
lusega, et pakkuja kasutab ristsubsideerimist. Ka ei saa pakkuja enda pakutud hinda selle võttega
õigustada. Seetõttu tuleb ristsubsideerimise keelu tingimusis pakkumuse alapakkumuseks olemist
hinnata lähtuvalt sellest, et maksumus, mis ei kata ära lepingu omahinda, on põhjendamatult
madal.31
44. Põhjendamiskohustuse rikkumine. Igal juhul ja sõltumata n-ö arvulistest argumentidest on
Hankija otsus Kolmanda isiku pakkumuse edukaks tunnistamise kohta õigusvastane puuduliku
motiveerimise tõttu. Nimelt, kui Hankija viiski läbi alapakkumuse kontrolli, siis eespool juba viidatud
Euroopa Kohtu praktika järgi lasus tal kohustus oma leidu, et pakkumuse maksumus on hoolimata
algsest alapakkumuse kahtlusest siiski põhjendatud, eraldi motiveerima. Seda Hankija teinud ei
ole, mis tähendab, et tema otsus on kontrollimatu ja läbipaistmatu (RHS § 117 lg 1 koostoimes
§ 3 p-ga 1).
45. KOKKUVÕTE. Vaidlustaja leiab, et kuna Hankes on igasugune ristsubsideerimine keelatud
ja Kolmanda isiku pakkumuse koondmaksumus jääb eelduslikult allapoole lepingu omahinda, siis
on tegu põhjendamatult madala maksumusega pakkumusega, mis kuulub RHS § 115 lg 8 alusel
tagasilükkamisele. Vastavalt on Hankija otsus Kolmanda isiku pakkumus edukaks tunnistada
õigusvastane. Lisaks sisulistele kaalutlustele on nimetatud otsus õigusvastane vormilistel
põhjustel, nimelt on otsus puudulikult motiveeritud (puuduvad mistahes kaalutlused maksumuse
põhjendatuse osas).
III MENETLUSLIKUD AVALDUSED
46. Tähtaegsus. Vaidlustus konkurentsipõhises läbirääkimistega hankemenetluses tehtud
otsuse peale peab olema laekunud VAKO-le kümne päeva jooksul alates päevast, kui vaidlustaja
sai teada või pidi teada saama oma õiguste rikkumisest või huvide kahjustamisest, kuid mitte pärast
hankelepingu sõlmimist (RHS § 189 lg 1). Hankija teavitas Vaidlustajat vaidlusalustest otsustest
riigihangete registri vahendusel 11.11.2025. Seega on viimane päev nende otsuste vaidlusta-
miseks 21.11.2025 ning käesolev vaidlustus on tähtaegne.
47. Vaidlustamisõigus. RHS § 185 lg 1 järgi eeldab riigihankes vaidlustuse esitamine, et:
(i) vaidlustaja on pakkuja, taotleja või riigihankes osalemisest huvitatud ettevõtja;
(ii) hankija tegevus rikub RHS-i; ja

(iii) RHS-i rikkumine hankija poolt rikub omakorda vaidlustaja õigusi või kahjustab tema
huve,32 st vaidlustuse rahuldamine peab positiivselt mõjutama vaidlustaja võimalust
hankelepingu sõlmimiseks.33
Vaidlustaja on vaidlusaluses riigihankes osalev pakkuja, kelle pakkumus jäi pingerivis teisele
kohale. Kui hetkeseisuga eduka Kolmanda isiku pakkumus langeks vaidlustuse tulemusena
konkurentsist välja, tõuseks Vaidlustaja pakkumus pingerivis esimeseks ning tal tekiks võimalus
jõuda ise raam- ja seejärel hankelepingu(te) sõlmimiseni. Sellega on täidetud kõik vaidlustamis-
õiguse eeltingimused.
48. Esindusõigus. Allakirjutanu kinnitab, et tal on volitus Vaidlustajat selles asjas esindada
(RHS § 190 lg 11).
49. Riigilõiv. Vaidlustatud riigihanke eeldatav maksumus ületab rahvusvahelist piirmäära (RHS
§ 14 lg 3). Sellest lähtuvalt on Vaidlustaja RHS § 186 ja RLS § 258 lg 1 p 2 alusel tasunud
vaidlustuselt riigilõivu summas 1280 eurot (vt lisa 5).
50. Menetlusliik. Vaidlustaja eelistab asja lahendamist kirjalikus menetluses (RHS § 190
lg 1 p 7).
51. Tõendid. Vaidlustaja ei ole menetlusökonoomiast lähtudes vaidlustusele lisanud tõendeid,
mis on VAKO-le riigihangete registrist vabalt kättesaadavad (RHS § 190 lg 7).
52. Teabe väljanõudmine. Vaidlustaja taotleb, et VAKO nõuaks Hankijalt välja järgmise teabe
ning edastaks selle nii VAKO-le kui Vaidlustajale:
(i) Kolmanda isiku pakkumuses esitatud Lisa 2 („Annex 2 Compliance Matrix“)
Kolmanda isiku täidetud kujul ning kõik pakkumuses esitatud lisadokumendid, mis on
mõeldud tõendama Kolmanda isiku pakkumuse vastavust Lisas 2 kehtestatud
tehnilistele tingimustele;
(ii) kogu (võimalik) kirjavahetus Hankija ja Kolmanda isiku vahel, mida on peetud seoses
Hankija poolt Kolmanda isiku pakkumuse maksumuse põhjendatuse ja/või Kolmanda
isiku pakkumuses ristsubsideerimise keelust kinnipidamise kontrollimisega, sh kõik
Kolmanda isiku esitatud selleteemalised dokumendid ja seletused, samuti Hankija
täpsed küsimused;
(iii) kõik ja mistahes Hankija koostatud dokumendid (kui neid on), milles kajastuvad
Hankija kaalutlused ja analüüs Kolmanda isiku poolt Hankijale antud selgituste kohta
tema pakkumuse maksumuse kujunemise osas.
53. Suhtluskanal. Vaidlustaja palub kõik menetlusdokumendid ja -teated edastada tema
lepingulise esindaja e-postile (toodud käesoleva dokumendi tiitellehel).

have been delivered to the Ukrainian Armed Forces.[11] By 3
September 2024, it has been visually confirmed that 16 units
were destroyed, 10 damaged and 4 were captured by Russian
forces [12][13] On 21 October 2023, Ukraine took delivery of
another batch of Senators, having a total of 750 Senators.[14]
Roshel Senator vehicles were seen in active use as part of the
August 2024 Kursk Oblast incursion.[15] As of 4 March 2025,
56 Senators has been destroyed, damaged or captured by
Russian forces.[16]

Senator MRAP: Mine-Resistant Ambush Protected Vehicle variant, first presented in 2023,
featuring a heavily modified two-door body with capacity for up to 8 passengers. The Senator
MRAP features a double V-hull for enhanced protection from mines and IEDs and is certified to
meet STANAG 4569 Level II ballistic protection and Level III blast protection.[31]
