left 718820 0 0 Attn: crystalsol OÜ Address: Akadeemia tee 15a, Tallinn 12618 Estonia Sent via e - mail : [email protected] NOTICE – Termination of lease agreement Tallinn University Of Technology , (registry code 74000323), (hereinafter “ L essor “ ) and crystalsol OÜ, (registry code 11513205) (hereinafter “ Lessee “) . considering that The L essor and the Lessee concluded the commercial premises lease agreement (hereinafter “Agreement“) on 14th of November 2009 for the lease of commercial premises 203,75 square meters at ICT Building (“Building”); Tallinn University o f Technology, has previously submitted a notice to the Lessee dated on 15th of January 2024, in which informed the Lessee of the need to terminate the lease agreement (an earlier termination of the lease by mutual consent) as of 15 September 2024 (hereinafter referred to as the "Notice 1"), but the parties did not reach such an agreement. Tallinn University o f Technology , has previously submitted a second notice to the Lessee dated 03th of July 2024, in which informed the Lessee of Tallinn University Of Technology’s wish to terminate the Agreement (with three month ’ s notice ) as of 15 October 2024 (hereinafter referred to as the "Notice 2"). As stated in clause 10.3. of the Agreement L essor can extraordinarily rescind the Agreement, prior to expiration, on the basis specified in the Agreement and also in law. The Estonian Law of Obligations Act clause 311 prescribes that the Parties may cancel a lease contract entered into for an unspecified term by adhering to the terms provided for clause 312 of the Estonian Law of Obligations Act. As set out in clause 312 (1) of the Estonian Law of Obligations Act, upon the lease of immovables, dwellings or business premises, either party may cancel a lease contract entered into for an unspecified term by giving at least three months' notice. Also as stated in clause 10.3.5 if the Lessee has not paid Rent, Accessory Expenses or other sums payable on t he basis of this Lease within 30 (thirty) c a lendar days of the payment due date or has repeatedly, i.e. twice (2 times) within the calendar year been more than ten (10) days in delay in paying Rent of other sums payable on the basis of this Lease. In light of the above (due to a material breach of contract) and with previous notice dated 03.07.2024, Tallinn University of Technology considers the lease agreement terminated as of 15th of February 2025. Lessee has transfer r ed premises to the Lessor on 19 th of Februry 2025, for which a relevant act has been drawn and signed by Lessee on 04th of March 2025 . The premises of the Building have been handed over in their existing condition, the premises still contain the Lessee’s ventilation equipment, which will be stored by the L essor until the end of March, 31.03.2025 at the latest. As of 05th of March 2025, the Lessee has a debt to the L essor in terms of rent and utility costs in the total amount of 20 882,98 euros (with VAT) (a statement of debts and invoices are attached to the relevant notice ). The L essor will give the Lessee an additional deadline to pay the debt , which is no later than 25th of April, 2025 . If the debt has not been received into the Tallinn University of Technology's bank account by that date, the university will transfer the claim to a collection company or apply to court.
