EQUASS Assurance Audit Contract

have entered into the following contract:
1. THE SCOPE OF THE CONTRACT
The services in this contract relate to the European Quality in Social Services (EQUASS) which
integrates a range of services and products in the field of quality. The Assurance in Social Services
certification (EQUASS Assurance) is one of these products and guarantees the quality of service
provision by certifying compliance with 50 criteria based on the Principles for Quality. An
organisation which meets the EQUASS Assurance criteria will be certified for a period of two years.
ASTANGU will engage the EQUASS Unit of EPR to perform the tasks described below with the aim
to become certified with EQUASS Assurance during 2016. The audit will require 2 days of audit.
2. TASKS OF THE EQUASS Unit
EQUASS Assurance audit will take place according the Audit procedures (full document available at
www.equass.be/equass/equass-certification-system/assurance)
a) Selection of an auditor trained by the EQUASS units to perform the audit.
b) External audit on EQUASS Assurance criteria (including feedback on performance)
performed by the auditor.
c) Delivery of an Audit Report
d) EQUASS Assurance certification of ASTANGU (if all EQUASS Assurance criteria have been
met)
3. INPUTS AND TIMING
The EQUASS Assurance audit will take place during 2 working days between the end of February
and the beginning of March 2016, and will be carried out by a certified EQUASS Assurance
auditor.
ASTANGU will provide a person to facilitate language interpretation to the auditor into English for
the duration of the audit.

4. FINANCIAL ARRANGEMENTS
The total price of the EQUASS Assurance audit in this contract is 3000 Euros (excluding VAT) and
includes the local travel costs and subsistence costs of the EQUASS Assurance auditor, as well as
preparatory actions and administrative support.
EPR will invoice ASTANGU 1 month before the audit is set to take place, and payment needs to be
transferred by bank transfer within 30 days of the invoice issue date.
5. LIABILITY
In no event will EPR be liable to ASTANGU in the context of accidents of any kind, including those
which the auditor is a victim - except those whose fault lie with EPR - or in accidents that the auditor
might cause to third parties and / or their property.
The applicant admits that, whatever the basis of his claim and the procedure to implement it, the
responsibility of the auditor because of the implementation of the obligations under this contract
shall be limited to an amount not exceeding the total amount actually paid by the applicant for the
services provided by the auditor.
Moreover, the applicant undertakes to abandon the responsibility of the auditor in the case of
damage to any document he gave him. The auditor disclaims liability for property damage to the
building, facilities, equipment, and furniture of the customer. The applicant agrees that the auditor
shall incur no liability for any loss of profits, business disruption, claim that the applicant would
receive.
6. APPEAL AND COMPLAINTS
EPR and its EQUASS unit have set procedures in place in order to resolve issues regarding:
- Appeal on the outcome of an audit – which allows an applicant to disagrees with EPR regarding
the refusal be awarded certification following to an audit, and carry out a new audit.
- General Complaint – which allows a person or company to complain about the performance of the
auditor or that of the EQUASS Unit, to complain about the audit process, its procedures and
documents, or to dispute that another service provider deserves EQUASS certification.
The Appeal and Complaints procedures are made available on the EQUASS website
(http://www.equass.be/equass/about-equass/quality-control). These procedures must be preferred
to judicial processes.
7. TERMINATION OF THE CONTRACT
This agreement can be immediately terminated:
- In case of bankruptcy or the dissolution of one of the parties, or
- In the event that one of the parties substantially violates the stipulations of this agreement.
8. COMPETENT COURTS AND APPLICABLE LAW
The Parties agree that the Brussels courts shall have exclusive jurisdiction in disputes opposing
them, in accordance with article 23 of the Convention on jurisdiction and the recognition and
enforcement of judgments in civil and commercial matters, signed in Lugano on 30 October 2007.

The Brussels courts will apply Belgian law only.
This contract is made in two identical copies, and was signed in Brussels and Tallinn
