February2024 LETTEROFINTENTFORPROJECTAPPLICATION In order to estabtish the goals and commitments among partners regarding the collaborative project proposal to be submitted to the call HORIZON-EIC-2024-PATHFINDEROPEN-01-01 (hereinafter: "Project") within the HORIZON-EIC HORIZON EICGrants, the signatory partner agrees on the following: Goals: The goals of the consortium partners for the Project are set äs follows: l. support the preparation and Submissionof the Project proposal, and if successful, 2. preparation of a grant agreement and negotiation of a consortium agreement, and 3. execution of the Project. In consequence, the signatory partner has the responsibility to actively Support the preparation of the proposal: provide the necessary information, participate in the Project definition and meetings, allocate resources, and respect the planning and deadlines. Confidentiality: All Information regardingthe structure, set up andtechnicalcontent ofthe proposal is confidentialand may not be disclosed to third parties without the approval ofthe disclosing Party. No new partner may be contacted or informed about the technical details ofthe Project without prior approval from the Project Coordinator (äs defined below) and after signing this letter of intent. Consortium agreement: Tallinn Technical University (Taltech) is empowered by the consortium to act ästhe Project Coordinator with all the correspondingobligationsduringthe negotiation and execution phases. Exclusivity: The signatory partner ensures that its executing department, "Institute for Software Engineering and Programming Languages" with its head researcher. Prof. Dr. Martin Leucker, will not submit a proposal on its own and may not cooperate with anythird party submitting a competing proposalto the mentioned HORIZON-EIC-2024-PATHFINDEROPEN-01-01 aftersigningthis letter of intent. Fees: Submission Fee: The proposal preparation will be subcontracted to CIVITTA. The following fees will apply: Submissionfees will be the following:9700 +VAT22%. Thesefees will be distributed among project Partners involved in the consortium, proportionally to the planned. budget of each partner. Submission fees will be remunerated by agreement contract nr 12-1/24/58-1 and then invoiced byTaltech directly to Universitaet zu Luebeck, Institute for Software Engineering and Programming Languages within thirty (30) days after proposal Submission. Success Fee: In the casethat the proposal isfinallyfunded in the call for proposals Universitaetzu Luebeck,Institute forSoftware Engineering and Programming Languages will contributeto coverthe success fees (äs listed below) proportionally to the share of funding it received according to the grant agreement of the cooperative Project. Successfees will be the following: . 2% + VAT22% ofthe ECrequested funding. Success fees will be invoiced by CIVITTA directly to Universitaet zu Luebeck, Institute for Software Engineeringand ProgrammingLanguageswithinthirty (30)daysfollowingthe receptionofthefunding. CONFIRMATION AND COMMITMENT The signatory partner confirms and declares: to become a partner for this Project according to the provisions of this letter of intent; to be fully eligible by the criteria set out in the specific call for proposals; to have the financial and operational capacity to carry out the proposed action; to address the gender requirements äs stated in Form A of the Horizon Europe Programme proposals; to usethe Informationdisclosedto him solelyforthe preparationand Submissionofa proposaland, ifsuccessful, forthe preparation ofthe grant agreement; and not to make any other use, whether commercial or non-commercial, withoutthe prior written consentofthe partnerdisdosingit; to pay its share ofthe Submission and success fees.
