SPECIAL TERMS AND CONDITIONS OF THE AUTHORIZATION AGREEMENT no

State Development (hereinafter Mandator) based on the Articles of Association
And
Lics Ukraine LLC, registry code 43524370, location Timoshenko str., 465, apt. 18, Kyiv 04210,
Ukraine, represented by Chief Executive Officer Mykhailo Galushko (hereinafter Mandatory), on the
basis of the Charter
hereinafter referred jointly also as Parties and separately a Party,
enter into an authorization agreement (hereinafter the Agreement) in accordance with the following
conditions:
1. Agreement documents and basis of the Agreement
1.1. The Agreement consists of these Special Terms and Conditions (hereinafter the Special Terms
and Conditions) and the General Terms and Conditions (hereinafter the General Terms and
Conditions) and their annexes. The special terms and conditions contain modifications and
corrections to the general terms and conditions.
1.2. The priority of the agreement documents is as follows: special terms and conditions (I),
annexes to the Agreement (II), and general terms and conditions (III). In case of discrepancies
between the agreement documents, the higher priority document shall prevail.
1.3. The Agreement will be awarded as a result of a public procurement carried out by the contracting
authority – “AI based memo creator" - and in accordance with the procurement documents and
the successful tender of the Mandatary.
2. Object and term of the service
2.1. The Mandatary contractually undertakes to provide the Mandator with a service consisting of
(hereinafter the service):

2.1.1. Building a solution that generates maximum 1-page memos with AI on two broad topics:
AI and Real-Time economy (RTE);
2.1.2. Two specific parts of the memo to be generated: three main talking points (in English),
background information (in Estonian);
2.1.3. Creating UI where User can enter topic, context, optional instructions, edit them and
download the resulting memo;
2.1.4. Adding data from provided memos and scraping the assigned websites to the Azure
database where it can be indexed and used with LLMs;
2.1.5. Setting up the environments in Azure and user authentication.
2.2. The Mandatary undertakes to provide the service between 05.08.2024 – 11.11.2024.
2.3. By prior agreement of the parties, the Mandatary has commenced the provision of the service
on 05.08.2024.
3. Amount of the fee, term, and procedure for payment
3.1. The Mandator shall pay the Mandatary a fee of 19 800, nineteen thousand and eight hundred
euro total, plus VAT. This fee is for the performance of the obligations set out in the Agreement.
3.2. The Mandator shall pay the fee to the current account:

4. Authorized representatives

5. Annexes to the Agreement
5.1. At the time of signing, the following documents are attached to the Agreement:
5.1.1. Annex 1 – Procurement documents (incl. description of the service);
5.1.2. Annex 2 – Mandatary's tender.

6. Other provisions
6.1. The Mandatary confirms that he/she has read the General Terms and Conditions in the Public
Procurement Register or electronically on the website of the Ministry of Economic Affairs
