Dear EAF Team, In order to streamline process of offering and performing of the Services, PZL Mielec is pleased to propose following course of dealing: 1. First repair service within this Open ROM is rudder trim tab repair – ROM price 369,60 EUR 2. In response to this OPEN ROM, EAF will release an OPEN Purchase Order. 3. PZL will keep an e-mail communication with EAF in regard to the following: - Additional service type and scope of work; - Pricing of additional works and materials. 4. EAF will accept additional works and prices by e-mail. Such acceptance will be deemed as legally binding order for performance of the Services referenced in corresponding e-mail and EAF’s obligation to pay prices for the Services. 5. PZL will track all additional works and prices in an Excel File, in the form and substance as set forth in attachment A hereto. 6. Prices for Services will be calculated EXW PZL facility in Mielec, Poland (Incoterms 2010, net price). 7. Once all the Services performed hereunder are completed on AJE00317 Aircraft, PZL will send to EAF an invoice covering total amount of all of the Services ordered and performed hereunder. 8. ROM validity: Assumptions referenced in this OPEN ROM will apply to all Services ordered by EAF until 15th November, 2021. Terms and Conditions: Performance of any work hereunder will be subject to terms and conditions set forth in Service Agreement no. 2-2/18/732-1. However, in case of any inconsistency between provisions of this OPEN ROM and Service Agreement no. 2-2/18/732-1, provisions set forth in this OPEN ROM will be prevailing. Export Authorization: PZL Mielec’s performance under any agreement resulting from this ROM is subject to PZL Mielec’s receipt of all applicable licenses, approvals and/or authorizations from the U.S. and/or Polish Governments. Force Majeure: PZL Mielec reserves the right to release from liability for partial or full failure to perform PZL Mielec obligations under this ROM, if it is prevented or delayed in performing those obligations by an event of force majeure – events that could not be predicted at the time of acceptance of this ROM; in particular: epidemic, pandemic Covid-19 and related to it: border closure, restrictions on international travel, European, national or local restrictions. In the event of force majeure, the deadline for fulfillment of obligations is changed after agreement between the Parties. The Parties will notify each other within 3 days written notice or email notice about the occurrence of force majeure.
